PRACTICE DECISIONS The following cases have been identified by the Editors of the Queensland Report as decisions which ought to be brought to the attention of practitioners even though they will not be reported in the Queensland Reports. Of these “Practice Decisions”, those which consider the rules of the UCPRs will be added to the Practice Decision Database which will be available, free of charge, on the Queensland Reports website later this year. Cases which will be reported in the Queensland Reports are reviewed under the heading “Editors’ Selected Cases” below. PRACTICE DECISION – THE LIMITATIONS OF S 18 OF THE SUCCESSION ACT 1981 – ALTERNATIVE WAYS TO OBTAIN PROBATE Re Kelly [2014] QSC 283 Wilson J 4 December 2014 Although it might come as a surprise to many, it appears that s18 of the Succession Act 1981 may have some limitations to it after all. That section permits the Courts to determine that a document is a will or part of a will of a deceased person in certain circumstances. Previous decisions have afforded this section a very wide operation such that almost anything written by a person (now deceased) has been held to be within the scope of the section. In this matter the original of the will of the testatrix had been lost and despite extensive searches it appears that all that could be found was a photocopy of the original will and an undated draft will. On the application under s 18 it had to be shown, as preconditions, that “the relevant document purports to state the testamentary intention of the deceased, and that it has not been executed under Part 2, ie in accordance with s 10”. The purported photocopy of the will may have stated the testamentary intentions of the testatrix, however the court could not be satisfied that the photocopy was a document which was intended to constitute the will of the deceased. In this respect Wilson J observed: “Mrs Kelly cannot have intended that the photocopy would, by itself, constitute her will. She did not re-execute the photocopy, so as to fully comply with the statutory requirements for formal validity. Rather, her intention must have been for the original signed document, which the photocopy replicates, to be her last valid will. All the evidence suggests that the document in question is a photocopy of a will that was properly executed. In other words, the testatrix intended that original document would be her last will – not the photocopy before the court.” However, Wilson J noted that the appropriate course would have been for the executor to apply for a grant of probate under UCPR 597 which derives from the pre-existing common law jurisdiction to admit copies of missing wills to probate. That can occur in circumstances where it Queensland Law Reporter – 23 January 2015 – [2015] 02 QLR 3 is established by evidence that the document in question is, indeed, a copy of the last will and testament of the deceased. PRACTICE DECISION – DEFAMATION – LIMITATION OF ACTIONS – EXTENSION OF TIME Findley v Morand [2014] QSC 297 Wilson J 9 December 2014 In an originating application involving self-represented litigants, his Honour declared that the applicant, a former 2010 tenant in residential student accommodation, was entitled to commence proceedings for alleged defamation relating to the respondents’ actions in listing the applicant’s details on the TICA tenancy database. The applicant asserted that in June 2014, he became aware that the respondents made an adverse entry about him on the TICA tenancy database on two occasions – 9 March 2011 and 25 January 2012. The adverse entry about the applicant was recorded as “Objectionable Behaviour within Caravan Park”. After an application to QCAT it was ordered the applicant’s details be removed from the tenancy database. The applicant also sought compensation however this relief was denied. In the Supreme Court the applicant sought an extension of time in which to bring a defamation action against the respondents in respect of the entries of 9 March 2011 and 25 January 2012. Pursuant to s 10AA of the Limitation of Actions Act 1974, the relevant limitation period expired after the end of one year from the date of publication unless otherwise permitted under s 32A. Section 32A(2) provides that a court must, if satisfied that it was not reasonable in the circumstances for the plaintiff to have commenced an action in relation to the matter complained of within one year from the date of publication, extend the limitation period mentioned in s 10AA for a period of up to three years from the date of publication. It was held that the Court could not extend the period of time in relation to the first tenancy entry of 9 March 2011 as the three year period had already expired by the time the applicant became aware of the entry in June 2014. His Honour noted though the time for the later entry might be extended to 25 January 2015. In considering a number of authorities in relation to the discretion to extend under s 32A his Honour: Agreed with the observations of Chesterman JA in Noonan v MacLennan that the power arising under s 32A is “unusual”. It requires a court to extend time if it is satisfied that the prescribed pre-condition has been fulfilled. The court has no discretion in the matter. If so satisfied, it must extend time (although there is discretion as to the length of the extension). Considered Applegarth J’s helpful dissenting judgment in Pingel v Toowoomba Newspapers Pty Ltd concerning the principles to be applied when the discretion is called upon, namely that the burden is upon an applicant to point to circumstances which make it not reasonable for them to have commenced an action within one year from the date of publication. Noted the Victorian decision of Han v Australian Kung Fu (Wu Shu) Federation Inc to the effect that one circumstance in which it may not be reasonable for a plaintiff to commence proceedings within one year was where the plaintiff was simply unaware of the publication, or was unable to identify the publisher. Endorsed Keane JA’s remarks in Noonan v MacLennan that an exhaustive list of the kinds of cases which might attract the statutory discretion was impossible, but those which came to mind included instances where a plaintiff was not able to establish the extent of the defamation, or was without the evidence necessary to establish their case, during the year after publication. Queensland Law Reporter – 23 January 2015 – [2015] 02 QLR 4 In the result, his Honour found that the applicant’s evidence, “while terse”, was sufficient to establish on the balance of probabilities that the applicant was not alerted to the alleged defamatory statements in the database until June 2014 and although the LAA did not permit an extension with respect to the first database entry made of 9 March 2011, in light of the authorities an extension was warranted under s 32A. PRACTICE DECISION – CONSTRUCTION OF WILLS – WHETHER APPLICATION ON THE PAPERS AN APPROPRIATE PROCEDURE? – EVIDENCE ADMISSIBLE ON CONSTRUCTION OF WILLS Flower v Allen [2014] QSC 300 Mullins J 11 December 2014 The application before the court was for declarations as to the proper construction of a will which the applicant sought to have decided without an oral hearing. The applicant, the executor of the estate of the late Jean Elizabeth Allen, was given probate of the deceased’s will on 8 August 2013. Clause 7 of the will provided for a devise of real property to her son, John Harding Allen (‘John’), on the condition that he transfer certain property which he owned (“Lot 22”), to a testamentary trust within three calendar months of the date of the deceased’s death. Clause 9 of the will provided for a further devise of various real property to the Elizabeth June Flower Testamentary Trust. As at the date of execution of the will, John was the registered owner of Lot 22. However, subsequently John transferred Lot 22 to the deceased. She was its registered owner when she died. Upon her death, Lot 22 was transmitted to the applicant and subsequently transferred to the trustees of the Testamentary Trust on 2 December 2013 pursuant to cl 9 of the will. In the applicant’s view, since John had transferred Lot 22 to the deceased prior to her death, he had met the condition he transfer the property to the Testamentary Trust within three calendar months of the date of the deceased’s death. The Registrar of Titles did not agree. The applicant sought declarations that: upon the proper construction of cl 7 of the deceased’s will, the word “within” means at any time before a date which ends three calendar months from the date of death of the deceased. the condition imposed on John was satisfied as Lot 22 was transferred to the Testamentary Trust before the date which is three calendar months of the date of death of the deceased. John is beneficially entitled to various lots devised to him by cl 7 of the will. The applicant sought to have the application for declarations as to the construction of cl 7 of the will decided on the papers pursuant to UCPR 489. It was held by her Honour that the proceedings were inappropriate for determination without an oral hearing: “In this application, however, where the discrepancies between clauses of the will are distinguished by the circumstances of the case and the construction of the will may involve some care in the consideration of the relevant legislation and case law, it should have been anticipated that the judge embarking on the application would be assisted in exploring the relevant issues with the applicant in the course of a hearing.” In relation to the proper construction of the will, her Honour found that: Clause 7 was ambiguous on the face of the will. As such, s 33C(1) of the Succession Act 1981 provided for the admissibility of evidence to assist in ascertaining the deceased’s intentions. The relevant affidavits clearly indicated that the deceased’s express intention was that, if John did not transfer Lot 22 to her whilst she was alive, she would draft her will on terms that would ensure that he did transfer it after her death. The deceased’s wish was that it would ultimately pass to the Testamentary Trust. It was Queensland Law Reporter – 23 January 2015 – [2015] 02 QLR 5 also her intention that John would receive his benefit under cl 7, conditional upon his transfer of Lot 22, to facilitate the carrying out of the deceased’s wishes in respect of the Lot. It was intended that the condition to which cl 7 of the will was subject was only to apply in the event that Lot 22 had not been transferred to the deceased prior to her death. Consistent with the deceased’s intention, the condition for cl 7 must be construed as applying only had Lot 22 not been duly transferred prior to the deceased’s death. In the result, it was declared that, upon the proper construction of the will, the condition in cl 7 applied only if the Lot had not already been transferred. Accordingly, it followed that the deceased’s son was entitled to the devise in his favour under cl 7 of the will. NEW PRACTICE DIRECTIONS Amended Practice Direction No.6 of 2014 - Bail proceedings using video link facilities and audio link facilities The Chief Magistrate, Judge Orazio Rinaudo, has issued the above practice direction concerning the hearing of bail proceedings in alternative courts pursuant to ss 23EC and 178C of the Justices Act 1886. Essentially, the practice direction enables alternative courts to deal with bail applications originating in other districts via video or audio link facilities. (For the most part, the original courts are smaller regional centres). The full list of alternative court locations which are authorised to hear bail proceedings which would ordinarily be heard by another district or division are contained in a table in para 3 of the practice direction. The practice direction indicates that in the absence of local arrangements as advised by the court, any bail matters should be directed to the closest available alternative court to the original court, after making prior enquiries to ascertain the availability of a sitting magistrate at that location. APPEALS No appeals have been instituted in previously noted cases since the last edition of the Queensland Law Reporter. Queensland Law Reporter – 23 January 2015 – [2015] 02 QLR 6 EDITORS’ SELECTION OF CASES The following cases have been selected for reporting in the Queensland Reports. BUILDING CONTRACTS – NON-COMPLIANCE WITH STATUTORY REQUIREMENTS CONCERNING CONTRACTS – WHETHER QUANTUM MERUIT CLAIM EXCLUDED CMF Projects Pty Ltd v Riggall [2014] QCA 318 Court of Appeal (Holmes, Gotterson and Morrison JJA) 2 December 2014 In this matter the appellant had entered into a “costs plus” contract with the respondent in relation to the renovations of the respondents’ residence. In response to the defence that the plaintiff was not entitled to recover because the contract did not comply with the requirements of the Domestic Building Contracts Act 2000 (the “DCBA”) in respect of “costs plus” contracts the appellant pleaded an alternative claim for a quantum meruit. At first instance the paragraphs of the pleading in relation to the quantum meruit claim was struck out on the basis that DCBA impliedly excluded such a claim. The Court of Appeal (Gotterson JA with whom Holmes and Morrison JJA agreed) upheld the appeal on the basis that the common law claim for a quantum meruit was not excluded by the operation of the Act. The following points arise from the decision of Gotterson JA: A claim in quantum meruit is not a claim on, or for the enforcement of, the contract but a claim which is independent of contract. By the quantum meruit claim in the present matter the appellant was not attempting to enforce the cost plus contract which was not in accordance with the DCBA. Although there existed a provision in the DCBA which provided for a builder who had not complied with the requirements of a cost plus contract to apply to QCAT for an award of the cost of providing the contracted services and a reasonable profit (s 55(4)), that provision did not impliedly exclude the right to recover upon a quantum meruit. In determining whether or not the statutory provision excluded the claim, Gotterson JA considered that there was a presumption of statutory interpretation against the abrogation of common law rights and that if such rights are to be abrogated such an intention should be clearly expressed even if that be by necessary implication. Here there was no necessary intention to exclude the right to recover under a quantum meruit claim. The right granted by s 55(4) was not a right to recover a sum of money as compensation for the work done. The right created by that section is much more limited than the rights which are enforceable by a quantum meruit claim such that those rights cannot be seen to have been provided in lieu of the right to pursue the quantum meruit claim. [Editor’s Note for an explanation as to why the action of indebitatus assumpsit (being in this case the quantum meruit claim) was not an action “on the contract” see the discussion in Gino D’Alessandro Constructions Pty Ltd v Powis [1987] 2 Qd R 40.] BUILDING CONTRACTS – BCIPA – SECTIONS 12 AND 99 – PROGRESS PAYMENTS Lean Field Developments Pty Ltd v E & I Global Solutions (Aust) Pty Ltd [2014] QSC 293 Applegarth J 4 December 2014 This interesting case concerned the interaction between statutory entitlements granted under BCIPA and the specific contractual terms agreed upon by parties to a construction contract. Queensland Law Reporter – 23 January 2015 – [2015] 02 QLR 7 Pursuant to the BCIPA, a person who has undertaken construction work is entitled to progress payments, and these become payable from a “reference date”, BCIPA s 12; the reference date being either the “date stated in, or worked out under, the contract” (emphasis added) or, if not provided for, the last day of the month in which the work was carried out. BCIPA Sch 2. The dispute arose following the applicant’s, Lean Field Developments’ (“Lean Field”), failure to pay the first respondent’s, E & I Global Solutions’ (“E & I”), claimed progress payment. Lean Field had engaged the services of E & I to supply services relating to high voltage and fibre optic cables. [2]. Pursuant to this agreement, E & I was required to submit a draft claim for payment on a specified date each month (cl 33.7(a)), and, fourteen days later, submit a Payment Claim (cl 33.8(a)) – for the purposes of the BCIPA this later date was to be the “reference date”. [8]. This process, however, was not followed and E & I issued a number of invoices for progress payment without first providing a draft payment claim – these invoices were paid without complaint. [9]–[11]. In March 2014, E & I issued an invoice which Lean Field disputed, and, before the adjudicator, argued that it was invalid of the basis that E & I failed to comply with cll 33.7 and 33.8 by delivering a draft payment claim. It was alleged that the consequence was that a “reference date” could not arise. The adjudicator rejected Lean Field’s argument. Lean Field sought to quash the adjudicator’s decision. The Court addressed three questions, namely: (1) Did cl 33.8 provide how the “reference date” was to be worked out? (2) If so, were cll 33.7 and 33.8 “of no effect in respect of [E & I’s] statutory entitlement to a progress payment because of s 99 of the Act;” and (3) Was Lean Field precluded on the grounds of waiver or estoppel from relying on noncompliance with cll 33.7 and 33.8? “Worked Out” The Court first addressed the question of whether cl 33.8 provided how the reference date was to be “worked out”, specifically whether the statutory definition allowed a “reference date” to be “worked out” by reference to post-formation conduct, rather than by application of the terms of the contact alone. [23]–[25]. Looking to the ordinary meaning of “worked out” – “a process of calculation”, [30], the Court concluded that there was nothing in the Act which precluded the application of this definition, [32] and thus a reference date could be “worked out” using a contractual formula which utilised a post-formation fact, including one dependent upon the conduct of a contractual party as a pre-requisite for the determination of a reference date. [36]–[38]. The Court considered, however, that in order to preserve the Act’s objective to provide a statutory entitlement to a progress payment, that s 12 of the Act provides there were limits on the validity of contractual provisions which regulate when a reference date will arise. These limits are expressly articulated in s 99 which operates to void provisions of a relevant agreement which are contrary to the BCIPA, and thereby invalidates those contractual conditions which would “prevent or inordinately delay” a reference date from arising. [34], [35]; see also [49]–[80]. Given this conclusion, the Court then addressed whether the requirements of cll 33.7 and 33.8 operated to “prevent or inordinately delay” a reference date from arising and as such were invalidated by the application of s 99. Though “contractual provisions captured by the unambiguous terms of the definition of “reference date” can qualify the statutory entitlement to a progress payment,” [64], see John Holland v Coastal Dredging, the Court concluded that cll 33.7 and 33.8 were not captured by this definition as the requirement to submit a draft payment claim was held to lack utility in making a payment claim under the BCIPA and being paid upon that claim and thus was an “impermissible constraint” on the right to claim for payment. [87]– [88]. On this basis the Court held the cll 33.7 and 33.8 were ineffective by reason of s 99 of the BCIPA. [91], see also [92]–[94]. Waiver Though unnecessary given its previous conclusion, the Court briefly considered whether Lean Field had waived or was estopped from insisting upon compliance with cll 33.7 and 33.8 given its previous conduct. [98]. On the evidence before it, the Court concluded that Lean Field’s conduct had not amounted to an election between inconsistent rights, nor was it such as to represent to E & I that a different relationship existed between the parties, [104]–[108], and thus held that neither waiver nor estoppel had been established. [110]. Queensland Law Reporter – 23 January 2015 – [2015] 02 QLR 8 For the aforementioned reasons the Court held that the adjudicator’s decision was not affected by jurisdictional error and dismissed Lean Field’s application. R M Derrington QC Editor: Queensland Reports Queensland Law Reporter – 23 January 2015 – [2015] 02 QLR 9 NEWLY PUBLISHED REPORTS ADMINISTRATIVE LAW – JUDICIAL REVIEW – REVIEWABLE DECISIONS AND CONDUCT – DECISIONS TO WHICH JUDICIAL REVIEW LEGISLATION APPLIES – REFERRAL TO RESPONSIBLE MINISTERS TO MAKE INDEPENDENT DECISION – OBLIGATION UNDER ACT TO REFER TO RESPONSIBLE MINISTER – WHETHER EARLIER DECISION MADE UNDER AN ENACTMENT – WHETHER EARLIER DECISION FINAL AND OPERATIVE Mid Brisbane River Irrigators Inc v Treasurer and Minister for Trade of the State of Queensland [2014] QSC 196 Jackson J; 21 August 2014 The applicant was an incorporated association the members of which comprised irrigators. It sought judicial review of a decision by the first and second respondent (two ministers in the State Government) to accept the recommendations under s 36 of the Queensland Competition Act 1997, subject to certain qualification, of the third respondent, the Queensland Competition Authority, contained in a report called “Irrigation Prices for Seqwater Supply Scheme”. The report was produced by the Authority following a statutory process under the Queensland Competition Act 1997. Section 36 is set out at [4] of the judgment. It provides that in relation to certain price monitoring recommendations, within a certain time after receiving the Authority’s report the minister must either accept or reject the recommendations, with or without qualifications. This decision must then be gazetted as well as reasons for making it. By s 37 (set out at [14]) if the minister accepts recommendations about pricing practices relating to a monopoly business activity which is a government business activity the recommendations and any qualifications must be referred by the minister to the responsible minister for that government agency carrying on the monopoly business activity. The first and second respondents referred the recommendations and their qualifications to the ministers responsible, being the ministers administering the Water Act 2000. On 18 December 2013, after considering the report and the recommendations and qualifications and a number of other matters, these other ministers gave a written joint direction, under s 1013D(3) of the Water Act 2000 to Seqwater as set out at [16]. This direction required Seqwater to comply with a certain pricing direction notice in setting certain rural irrigation water prices. In arriving at their decision to give the direction, these ministers satisfied themselves that the Authority’s final report was consistent with government policy with respect to setting irrigation prices, and stated that they had arrived at that view independently of the other respondent ministers’ acceptance of the final report’s recommendations. Held: (1) That an incorporated association does not simply acquire the interests or standing of its members. [32]. Right to Life Association (NSW) v Department of Human Services (1995) 56 FCR 50; Defence Coalition against RCD Inc v Minister for Primary Industries and Energy (1997) 74 FCR 142; Access for All Alliance (Hervey Bay) Inc v Hervey Bay City Council (2007) 162 FCR 313; Manuka Business Association Inc v Australian Capital Territory Executive (1998) 146 FLR 464; Clyde Group Inc v Minister for Primary Industries and Water (2007) 17 Tas R 85 applied. Australian Institute of Marine and Power Engineers v Secretary, Department of Transport (1986) 13 FCR 124 considered. Per Jackson J It would facilitate the orderly resolution of litigation over a public right adversely affecting the interests of members of a group such as the applicant for a court generally to be able to recognise the representative body as a person whose interests are adversely affected, although the cases reveal that there is difficulty in acting on such a broad basis as that. [38]. (2) That, without deciding whether the applicant otherwise had standing in its position as representative of its irrigator members, the respondent ministers’ decision to accept the Queensland Law Reporter – 23 January 2015 – [2015] 02 QLR 10 third respondent Authority’s recommendations in the report had no direct effect upon either the applicant or its members because setting aside that decision would have no effect on the validity of the direction by the other ministers under s 1013D of the Water Act 2000 to implement the irrigation prices. Accordingly, the applicant was not “aggrieved” by the decision it attacked. [38] – [39]. (3) That there was a reasonable argument that the decision of the respondent ministers’ decision was “a decision made under an enactment” within the meaning of s 4(a) of the Judicial Review Act 1991 because the making of the decision accepting the recommendations under s 36 of the Queensland Competition Authority Act 1997 engaged the obligation of the ministers to refer the recommendation and any qualifications under s 37. The decision was final and operative because once the respondent ministers had made their decision and complied with s 37 there was nothing further for the respondent ministers to do. [23] – [24], [25]. Australian Broadcasting Tribunal v Bond (1990) 170 CLR 321; Griffith University v Tang (2005) 221 CLR 99 considered. (4) That the respondent ministers’ decision was not a spent force upon the making of the other ministers’ direction under the Water Act 2000. The legal efficacy of the respondent ministers’ decision was not affected by the later decision of the Water Act ministers to make the direction. [26] – [28]. MD Evans Barrister Sub-Editor: Queensland Reports CRIMINAL LAW – STAY OF CIVIL PROCEEDINGS PENDING CRIMINAL PROCEEDINGS – DEFAMATION ACTION – PRINCIPLES FOR GRANTING OR WITHHOLDING STAY – NO REAL DANGER OF INJUSTICE IN CRIMINAL PROCEEDINGS Flegg v Hallett [2014] QSC 220 Flanagan J; 12 September 2014 The defendant applied to stay a defamation action until the determination of criminal proceedings against him on a charge of making a demand with menaces upon agencies of government under s 54A Criminal Code. The particulars of the alleged charge were that on 12 November 2012 in Brisbane the defendant demanded that Russell Lee Anderson, the director, Government Media Unit, Office of the Premier, secure employment with threats of detriment to be caused to the plaintiff, a member of the Legislative Assembly of Queensland. The charge was brought by notice to appear served on 30 June 2014. It was likely a committal proceeding would be set down in either November or December 2014 unless the defendant wished to bring an application to cross-examine in which case it was more likely to be held between January and April 2015. If committed, any trial was unlikely to take place until the second half of 2015. The defamation action was already set down for a trial to commence on 15 October 2014 for three days. The defendant was the plaintiff’s former senior media adviser having been so employed from about 3 April 2012 to 12 November 2012. On 12 November 2012, the plaintiff caused the defendant to be dismissed from his position. On the same day the defendant was alleged to have had a conversation with Mr Anderson, which was the substance of the criminal charge. Further, on 12 November 2012, the defendant said the following words to one or more journalists or employees of media organisations in Brisbane: “I will be making certain disclosures that [the plaintiff] is not a fit and proper person to be a minister” and “Flegg has dismissed me so I am going to put all of this in the public record.” These statements were alleged as being defamatory of the plaintiff in the defamation proceedings. In addition, the defamation proceedings also alleged certain other statements alleged to be made the next day were defamatory including statements alleged to be made in a radio interview that day. On 14 November 2012 the plaintiff resigned from the ministry. Under its constitution, the principal object of the ICLRQ is “the preparation and publication in a convenient form, at a moderate price, and under gratuitous professional superintendence and control, of Reports of Judicial Decisions of the Supreme Court in the State of Queensland.” In pursuit of this object, the ICLRQ publishes a set of authorised reports of the key decisions of the Supreme Court of Queensland (Queensland Reports) and a weekly supplement to these reports (Queensland Law Reporter). Under the constitution of the ICLRQ, all surplus funds from its operations are used to benefit the Supreme Court of Queensland Library. The members of the Council serve on a voluntary basis.
