selection of professional service firm/ consultant to prepare Revised Development Plan for BHADA. The purpose of this RFP is to provide interested parties with information that may be useful to them in formulation of their proposals pursuant to this RFP document. This RFP includes statements which reflect various assumptions and assessments arrived at by BHADA in relation to the consultancy work referred in this RFP. Introduction 1. 1 Introduction to Bhuj Bhuj city is the administrative headquarter of Kachchh District, the largest district of Gujarat in terms of geographical area. It is located in north-west part of Gujarat at a distance of around 400 Km from Ahmedabad and Gandhinagar, the state capital. Being centrally situated in the district, and second largest city of Kachchh, Bhuj is of strategic importance for development of the region. Bhuj is well connected with other cities of Kachchh and Gujarat by road and rail. It serves as an important centre for trade and commerce for the region. The coastline of Gulf of Kachchh has been recognized as an important geography for international trade. Several ports having high significance at regional and national level are located here, and the shoreline still offers huge potential for further such developments of port and port-led economic activities. Kachchh, recently, is also being explored and established as a unique tourism experience through initiatives of Gujarat Tourism. There are huge investments made and under way towards development of industrial and regional infrastructure, both from public and private sector. Thus, the city of Bhuj shall witness plethora of opportunities and challenges in coming times. The city is administered by a Municipal body, while the planning and development is regulated by Bhuj Area Development Authority (BHADA) which was established by Govt. of Gujarat following the devastating earthquake in 2001. The municipal body spreads over an area of around 19.60 sq.km. and accommodate a population of around 1.47 lacs as per Census 2011. The jurisdiction of BHADA admeasures around 56 sq.km. (including the Municipal area), and have a population of around 1.87 lacs (including the population residing in Municipcal area) as per Census 2011. BHADA consists of area under Bhuj Municipality, Mirzapar village, part of Madhapar village and part of Bhuj village. The central areas in and around the Walled City are intensively developed compared to other areas. The Walled City Area, Bhujiyo hill with fortress looking down the city, and several lakes including Hamirsar Lake in the central part of the city are some characteristics features of Bhuj. Bhuj is a picturesque and historic city dotted by palaces, lakes, havelis in addition to the walled city and fortress built on a hill. While the areas around the Municipal area have witnessed development in recent past, there are vast areas towards periphery not developed for urban activities yet. 1. 2 Project Background The first Development Plan for Bhuj was prepared in 1976 by the Town Planning and Valuation Department, which covered an area of around 13.58 sq.km. There were no planning exercises carried out after that till 2001. In 2001, following the devastating earthquake of unprecedented intensity, Govt. of Gujarat notified Bhuj Area Development Authority (BHADA) under the Gujarat Page2 REQUEST FOR PROPOSAL (RFP): Consultancy Services for Preparation of Revised Development Plan for Bhuj Area Development Authority Town Planning and Urban Development Act (GTP&UD Act), 1976. The jurisdiction of BHADA spread over an area of 56 sq.km. The Draft Development Plan-2011 was prepared for the area under BHADA, and submitted to State Govt. as per the provisions of GTP&UD Act, 1976 in 2001. As per the Gujarat Town Planning and Urban Development Act (GTP&UD Act) 1976, Bhuj Area Development Authority (BHADA) is entrusted preparation, implementation and revision of the Development Plan of area under BHADA. It is now required to revise the Development Plan-2011 as per the provisions of GTP&UD Act, 1976. BHADA is now expediting the process of Preparing the Revised Development Plan for BHADA- 2025, and wish to appoint technical consultant to avail professional services for the same. 1. 3 Objective of this RFP Bhuj Area Development Authority (BHADA) referred as ‘the Authority’ hereinafter, through this RFP, hereby invites professional consultancy services for ‘Preparation of Revised Development Plan- 2025 for BHADA’, as per the provisions of GTP&UD Act, 1976. This is a request for Technical Proposal and Financial Proposal from Urban Planning firms and professionals. Objective of this RFP is to select consultant for Preparation of Revised Development Plan for BHADA- 2025 as per the provisions of GTP&UD Act, 1976. Instructions to Bidders 2. 1 Documents Constituting RFP The RFP documents comprise the following and are to be read together: i) This RFP document, and ii) Other addendum documents, if any, constituting any clarifications, amendments, modifications to the RFP document or its constituent document. 2. 2 i) Process of Bidding and Selection of Consultant A combined Quality cum Cost Based Selection (QCBS) process has been adopted for the selection of the Consultant. ii) Those Consultant who submit the Proposal, shall be called Bidders. The Bidders are required to prepare and submit their proposal in accordance with the terms set forth in this RFP. iii) The Proposal shall be submitted in physical form only to CEO, Bhuj Area Development Authority by 5:00 PM on the Proposal Due Date, through Registered Post, Speed Post, other postal or courier services only. iv) The Bidders are required to submit their Proposal comprising Proposal Fees, Technical Proposal and Financial Proposal. The Proposal would form the basis of evaluation and selection of the Bidders. v) Proposals not containing Proposal Fees, i.e. Tender Fee and Earnest Money Deposit (EMD), shall be rejected summarily. vi) First stage in the selection process shall be evaluation of the Technical Proposal submitted by the Bidders. The purpose of evaluating Technical Proposal is to ensure the technical expertise and financial capability of the Bidder to provide consultancy services as required. Financial Proposals of only those Bidders qualifying in the Technical Proposal would be opened. vii) The final selection of the firm will be on the basis of Final Composite Score (FCS) derived by combining Technical Score (TS) and Financial Score (FS) with 70% and 30% ratio respectively. However, the authority reserves the right to reject any proposal, irrespective of its Final Composite Score, and award the work to consultant who may best suit to the Authority by all means. Authority’s decision in this regards shall be considered final and binding to all. Page4 REQUEST FOR PROPOSAL (RFP): Consultancy Services for Preparation of Revised Development Plan for Bhuj Area Development Authority viii) The Authority also reserves the right to reject any proposal, irrespective of its Final Composite Score, quoting consultancy fees so low that, in the opinion of the Authority, such Bidder may not be able to perform the required services to the satisfaction of the Authority within the financial fees quoted therein. Authority’s decision in this regards shall be considered final and binding to all. ix) The Bidders are advised to visit the site and examine the parameter and scope of work in detail, and to carry out, at their cost, such studies, investigation & analysis as may be required for preparing and submitting their respective Proposals for the Project. x) The Bidder selected by the Authority following the evaluation procedure shall be called Technical Consultant. After selection and subsequent negotiations, if any, a letter of award would be sent to the Technical Consultant, after which an Agreement shall be signed between the Authority and the Consultant. xi) The statements and explanations contained in this RFP are intended to provide a broad understanding to the Bidders about the subject matter of this RFP and should not be construed or interpreted as limiting in any way or manner the scope of services and obligations of the Technical Consultant set forth in the Agreement or the Authority’s rights to amend, alter, change, supplement or clarify the scope of work, to be awarded pursuant to this RFP or the terms thereof or herein contained. Consequently, any omissions, conflicts or contradictions in the Bidding Documents including this RFP are to be noted, interpreted and applied appropriately to give effect to this intent, and no claims on that account shall be entertained by the Authority. 2. 3 Schedule and Important Dates The Authority shall endeavour to adhere to the following schedule. However the Authority may, in its sole discretion, extend the dates by issuing an Addendum. The responses will be sent by fax or e-mail. The Authority shall upload the reply to all such queries on its Website without identifying the source of queries. iii) The Authority reserves the right not to respond to any questions or provide any clarifications, in its sole discretion, and nothing in this RFP shall be construed as obliging the Authority to respond to any question or to provide any clarification. 2. 6 Amendment of RFP The Authority may, at any time prior to the Proposal Due Date, for any reason whether at its own initiative or in response to the clarifications requested by a Bidder, modify the RFP document by issuing an Addendum/Amendment and posting it on its Website, and which shall be binding to all Bidders. 2. 7 i) Contact Details All communications including the submission of Proposal shall be addressed to: To CEO, Bhuj Area Development Authority (BHADA), Reliance Hall, Nr. Page6 REQUEST FOR PROPOSAL (RFP): Consultancy Services for Preparation of Revised Development Plan for Bhuj Area Development Authority iv) The bidders, if required, may visit the website: www.bhujada.com for further contact details. 2. 8 Minimum Eligibility Criteria The Bidder shall have to meet with the following minimum eligibility criteria to be considered eligible for this assignment. i) The applicant firm can be a Company, Partnership firm, Limited Liability Partnership (LLP) or a Proprietorship registered under the relevant acts, OR Government/ Semi Government agency (Copy of proof/relevant documents exhibiting the incorporation of the firm shall be submitted). ii) The bidding entity shall have been established for at least 5 years. iii) The bidding entity shall have an Average Annual Turnover of at least INR 30,00,000 (Indian Rupees Thirty Lacs) during the preceding three (3) financial years from related consultancy services. Related consultancy services are such as Preparation of Development Plans, Master Planning, Town Planning Schemes; Projects/assignments related to Urban Planning, Physical Planning, Environmental & Infrastructure Planning, Mapping and GIS based services; other such relevant planning consultancy services. (Certificates from a Statutory Auditor or Chartered Accountant stating the total turnover/revenues from the consultancy services during each of the preceding three financial years shall be submitted). iv) The applicant firm shall have prepared and completed up to the stage of submission to the Government at least ONE development plan/ master plan of city scale as per the statutory provisions (under the GTPUD Act 1976 or any similar Act in other States) anywhere in India. OR The applicant firm shall have completed up to the stage of Draft Plan and above at least THREE development plan/ master plan of city scale as per the statutory provisions (under the GTPUD Act 1976 or any similar Act in other States) anywhere in India. OR The proposed Team Leader of the applicant firm shall have, as Team Leader or Key Expert or member of Key/Core Team, completed up to the stage of submission to the Government at least THREE development plan/ master plan of city scale as per the statutory provisions (under the GTPUD Act 1976 or any similar Act in other States) anywhere in India. (Copy of documentary proof/relevant documents exhibiting that the above-said eligibility criteria is met by the Bidder shall be submitted) v) Availability of the Project Team constituting experts/ personnels as mentioned hereinafter in this RFP. vi) Bidders representing Consortium/ Joint Venture are ineligible. Page7 REQUEST FOR PROPOSAL (RFP): Consultancy Services for Preparation of Revised Development Plan for Bhuj Area Development Authority vii) Any entity which has been barred by the Central Government, any State Government, a statutory authority or a public sector undertaking, as the case may be, from participating in any project and the bar subsists as on the Proposal Due Date, would not be eligible to submit a Proposal either by itself or through its Associate firm. (Anti- Blacklisting Declaration as per Annexure-3 shall be submitted) viii) Bidders engaging in fraudulent or mis-representation practices shall be disqualified at any stage, including after award of work and shall also result in forfeiture of their EMD. Note: All the above information should be supported by relevant documents / certificates. 2. 9 i) Project Team Required The project team shall constitute experts/personnels as mentioned in the table below. (A certificate for each such expert stating that they are working full time with the bidding firm signed by both the bidding firm and the concerned team member shall be submitted, along with relevant documentary proofs) Note: The experts, being referred hereinabove, shall be associated in the above-said manner with the applicant firm since earlier than issuance of this RFP. In case, the Bidder has appointed/ employed such experts after issuance of this RFP, such Proposal shall not be eligible for evaluation. iii) Other three expert members of the Core Team can be staff of the applicant firm / independent consultant or employees of other firm. (A certificate for each such expert clarifying their current position and association with the bidding firm signed by both the bidding firm and the concerned team member shall be submitted. In case the expert is an employee of other firm, submit a certificate from his/her current employers stating that he/she is permitted to work on this assignment as expert). iv) No alternative proposal for any member of the Project Team shall be made by the Bidder, and only one person shall be proposed for each position. v) CVs for each member of Project Team (Core Team and Support Team) shall be submitted as part of the Proposal. vi) The applicant firm, if it considers necessary, may propose suitable experts in their respective areas of expertise in addition to the positions of Core Team as required herein. If the applicant firm propose such additional experts, their CVs shall also be submitted. However, the number of such additional experts shall not exceed 3 members. The applicant firm may also employ more staff/personnels as Support Team, details and CVs of which are not required to be submitted along with the Proposal. v) It is essential that the core team / expert members are fully associated with the project in all the stages. The applicant firms are advised to ensure availability and complete involvement of proposed core team. The CV of each member of Project Team shall clearly mention all the ongoing work he/she is involved with their role and approximate man-months committed to clients for such ongoing work for coming six months. It will be mandatory for the Team Leader to be present in the review meetings at all stages throughout the project period. At Page9 REQUEST FOR PROPOSAL (RFP): Consultancy Services for Preparation of Revised Development Plan for Bhuj Area Development Authority all stages it will be mandatory for the experts to personally present the survey analysis and their recommendations for development plan preparation to the Authority. vi) The Authority reserves the right to relax the above-said requirements of Project Team marginally considering the overall credential and expertise of the Project Team proposed by the bidder. 2. 10 Preparation of Proposals i) The Proposal as well as all related correspondence by the Bidder shall be written in English. ii) The Bidder shall provide all the information sought under this RFP. The Authority shall evaluate only those Proposals that are received in the required formats and complete in all respects. iii) In preparing their Proposal, Bidders are expected to examine in detail the documents comprising the RFP. Material deficiencies in providing the information as requested may result in rejection of a Proposal. iv) The Proposal shall be typed or written in indelible ink and signed by the authorised signatory of the Bidder who shall also initial each page of Proposal, in blue ink. For this purpose, the authorised signatory shall mean either a) the proprietor, in case of a proprietary firm, or b) a partner, in case of a partnership firm and/or a limited liability partnership, or c) a duly authorized person holding the Power of Attorney as per the format prescribed in Form: 2 (Annexure-1) v) All the alterations, omissions, additions or any other amendments made to the Proposal (printed hard copy) by the Bidder, if any, shall be initialled by the person signing the Proposal. vi) The Bidder may, if required, format the specified Forms only to make due provision of space required to incorporate the requested information. However, the overall structure and sequence of the Forms shall not be altered. vii) The Bidder shall, along with the Proposal, also submit a copy of this RFP document duly signed by the authorised signatory of the Bidder who shall also initial each page in blue ink. viii) The Bidder shall submit the Proposal in the specified formats and shall place the documents in THREE (3) separate envelopes, Proposal Fees (Envelope-1), Technical Proposal (Envelope2) and Financial Proposal (Envelope-3), as specified hereunder. The envelope shall also bear RFP Title and name, address, and contact number of the Bidder/ authorized person of the Bidder. 2.10.2 Envelope-2: Technical Proposal i) The envelope shall contain following information/ documents in the sequence in separate envelopes as mentioned herein below. Submittal 1: Firm’s Background Introduction to the Firm- A brief overview of the firm and its background, organizational structure of the firm, sectors and services being rendered, range of projects/works, list of recent/ongoing relevant projects, landmark projects, recognitions/certifications, awards/commendations, contact details, etc. Firm Registration/ Incorporation documents- Documents exhibiting the Bidding entity’s incorporation/ establishment date and/or the experience (in years) in providing the related services Power of Attorney as per Form: 2 (Annexure-1), however such Power of Attorney would not be required if the Proposal is signed by the proprietor in case of a proprietary firm or a partner in case of a partnership firm or limited liability partnership. (Each CV shall be attached with copies of certificates of educational qualification, and the certificates/ statements regarding the expert’s association with the Firm as required to be eligible as per this RFP) Submittal 4: Project Description Sheets Project Description Sheet in the prescribed format as per Form: 6 (Annexure-1) along with copies of work orders, completion/interim certificates along with the respective project. Notes: a) The number of projects presented as per Form: 6 (Annexure-1) shall not exceed 10. The marks to be assigned based on Project Description Sheets shall consider TEN (10) projects only. In case, the Bidder intends to present their experience of other projects, it shall be presented as part of the Introduction of Firm (Submittal 1). b) Bidders are required to present their recent experience, i.e. last 5 years, of relevant projects such as Development Plans as per GTPUD Act 1976, Development Plans/ Master Plans of city scale as per statutory provisions of other States, urban planning assignments, surveying, updating cadastral maps, and other relevant projects. c) Those projects that are complying to the eligibility criteria , i.e. development plan/ master plan of city scale as per the statutory provisions (under the GTPUD Act 1976 or any similar Act in other States), shall be presented first in sequence. d) The Project Description Sheets for each project shall not exceed FOUR (4) pages (printed sides) of A4 size. e) The Project Description Sheets shall clearly mention- (i) if the respective project is meant to meet the eligibility criteria, (ii) whether the project is completed or ongoing, (iii) whether the respective project has been carried out by the applicant Firm or the proposed Team Leader. f) Project Description Sheets shall not contain more than 3 such projects that have been carried out by the Proposed Team Leader and not by the applicant Firm. g) The Project Description Sheet of each project shall be accompanied by the copies of work order/ Letter of Award, completion / interim certificate issued by the respective client. Submittal 5: Approach, Methodology and Work Plan Comments and Suggestions on Terms of Reference (TOR) Approach and Methodology P a g e 12 REQUEST FOR PROPOSAL (RFP): Consultancy Services for Preparation of Revised Development Plan for Bhuj Area Development Authority Activity Schedule (as per the format prescribed in Form: 7 of Annexure-1) Staffing Schedule (as per the format prescribed in Form: 8 of Annexure-1) Note: The document on Approach, Methodology and Work Plan (Submittal 5) shall not exceed FORTY (40) pages (printed sides) of A4 size. However, if required, the work plan, and Staffing schedule may be printed in A3 size paper and folded to A4 size. ii) The envelope shall be titled “ENVELOPE 2: TECHNICAL PROPOSAL”. The envelope shall also bear RFP Title and name, address, and contact number of the Proposer/ authorized person of the Proposer. iii) The Technical Proposal shall not include any financial information relating to the Financial Proposal. 2.10.3 Envelope-3: Financial Proposal i) The envelope shall contain following documents/ information: Financial quote of lump sum fees for the proposed consultancy assignment as per format prescribed in Form: 9 (Annexure-1). The lump sum fees quoted by the Bidder shall be supported by the item-wise cost of man-power for updating cadastral maps, ground survey for updating cadastral maps, man-power for preparing revised development plan, surveys, transportation, accommodation, printing, documentation, miscellaneous, etc. ii) The envelope shall be titled “ENVELOPE 3: FINANCIAL PROPOSAL”. The envelope shall also bear RFP Title and name, address, and contact number of the Proposer/ authorized person of the Proposer. iii) The Bidders, while preparing their financial proposal, shall take note thatd) The lump sum figure quoted in Financial Proposal shall only be considered for the evaluation of the proposal. The fees shall include cost of surveys, personnel, profit, overheads, travel, and other such expenses, but will not include prevailing Service Tax on the fees. e) All payment of fees shall be paid in Indian Rupees after the statutory deductions. All statutory taxes and other payments in connection with fees received or any services provided under this consultancy assignment except the service tax shall be borne by the Consultant. However, where necessary, appropriate deduction at source will be made by the Authority and necessary certificates will be issued to the Consultant. 2. 11 Submission of Proposals i) The Bidder shall submit the Tender Fee and EMD in Envelope- 1, which shall be sealed and marked “ENVELOPE 1: PROPOSAL FEES”, followed by RFP Title. P a g e 13 REQUEST FOR PROPOSAL (RFP): Consultancy Services for Preparation of Revised Development Plan for Bhuj Area Development Authority ii) The Bidder shall submit ONE (1) copy (ORIGINAL) of the Technical Proposal. In addition to the original hardcopy of the Technical Proposal, a CD containing the soft copy of the Technical Proposal shall also be submitted. iii) The original hardcopy of the Technical Proposal and the CD containing the soft copy of the Technical Proposal shall be placed in Envelope- 2, which shall be sealed and marked “ENVELOPE 2: TECHNICAL PROPOSAL”, followed by RFP Title. iv) The Financial Proposal (only the original, without any copies and soft copy) shall be placed separately in Envelope- 3, which shall be sealed and marked “ENVELOPE 3: FINANCIAL PROPOSAL”, followed by RFP Title. v) The Envelope-1, Envelope-2 and Envelope-3 shall be placed into a Main Outer Envelope and sealed. This outer envelope shall be marked “PROPOSAL”, followed by RFP Title. vi) The Main Outer Envelope and all the three envelopes to be placed inside it shall also be marked with the name, address and contact details of the Bidder or the authorized signatory of the Bidder. vii) The Proposal shall be submitted in physical form only to the CEO, Bhuj Area Development Authority by 5:00 PM on the Proposal Due Date, through Registered Post, Speed Post, other postal or courier services only. viii) The Authority shall not be responsible for misplacement, losing or premature opening if the outer envelope is not sealed and/or marked as stipulated. This circumstance may be case for rejection of Proposal. Moreover, if the Financial Proposal is not submitted in a separate envelope sealed and marked as indicated above, the Proposal shall be declared nonresponsive and hence rejected. ix) Any proposal received by the Authority after the deadline for submission shall be not accepted and returned unopened. x) The Authority shall open the Main Envelope and the Envelope-1 (Proposal Fees), Envelope-2 (Technical Proposal) immediately after the Proposal Due Date. The Envelope-3 (Financial Proposal) shall remain sealed and securely stored. 2. 12 Proposal Opening Process i) On the day of Technical Proposal Opening, the Authority shall open the Main Outer Envelope. The Envelope-1 (Proposal Fees) would be opened first, and the Tender Fee and EMD would be verified to ascertain responsiveness. ii) On successful verification of Tender Fee and EMD, Envelope-2 (Technical Proposal) would be opened. The Envelope-3 (Financial Proposal) shall remain sealed and securely stored. iii) Evaluation of the technical capacity of the Proposer shall be done next through evaluation of Technical Proposal (as submitted), and subsequent Presentation of the shortlisted Proposer. P a g e 14 REQUEST FOR PROPOSAL (RFP): Consultancy Services for Preparation of Revised Development Plan for Bhuj Area Development Authority The Proposer would be awarded Technical Score as per the procedure mentioned in this RFP. iv) Financial Proposal shall be opened of only those Bidders whose Technical Score is satisfactory to the Authority. v) Final Composite Score (FCS) shall be assigned to the Bidders whose Financial Proposals would be opened. Selection of successful Proposer shall be done based on the Final Composite Score as per the evaluation process and conditions mentioned in this RFP. 2. 13 Evaluation of Proposal The Proposals will be evaluated through a Quality cum Cost Based Selection (QCBS) based approach. Only those proposals accompanying with Tender Fee and EMD shall be evaluated. The evaluation of proposals shall be carried out in the manner as described below. 2.13.1 Evaluation of Technical Proposal and Technical Score The technical competence of the Proposer shall be evaluated in three steps as under: STEP 1: Evaluation of Technical Proposal- Out of 80 marks The Technical Proposal as submitted by the Proposers shall be evaluated based on the information/ documents submitted therewith as per the following marking scheme out of total marks of 80. These qualified Proposers shall be called to make a Presentation before the Presentation Review Committee. The Presentation must be made by proposed Team Leader and at least two other experts from the Core Team, and shall be evaluated out of 20 marks. Note: The Authority retains the right to qualify more than five bidders up to a maximum top ten highest scoring proposers for the Presentation. The Presentation Review Committee shall P a g e 15 REQUEST FOR PROPOSAL (RFP): Consultancy Services for Preparation of Revised Development Plan for Bhuj Area Development Authority comprise of Chairman- BHADA, Chief Executive Officer (CEO)- BHADA, Town Planner- BHADA, professionals and town planning experts for technical support from Governmental Departments/ Academic Institutions/ Professional Practice as and if the Authority find suitable. STEP 3: Arriving at Technical Score (TS)- Out of 100 marks The marks obtained by the shortlisted proposers from the Presentation in STEP 2 (out of 20 marks) shall be added to the marks obtained in STEP 1 (out of 80 marks) earlier. Thus the combined score out of 100 marks shall be considered as the TECHNICAL SCORE (TS). The top scroing five proposers (Technical Score out of 100 marks) shall qualify for the next stage, i.e. opening and evaluation of Financial Proposal. Note: The Authority retains the right to qualify more than five bidders up to a maximum top ten highest scoring proposers for evaluation of Financial Proposal. 2.13.2 Evaluation of Financial Proposal and Financial Score i) After the evaluation of Technical Proposal, the Authority shall evaluate Financial Proposal of the bidders shortlisted as per the Technical Score, on the same day on which the presentations would be made by shortlisted bidders and the Technical Score is assigned for such bidders. However the Authority may, in its sole discretion, extend the dates by informing the shortlisted bidders about the same. ii) The Financial Proposals shall be opened in the presence of the representatives of shortlisted Bidders who choose to attend. iii) The Authority shall declare the name of the shortlisted proposers along with their respective Technical Score before opening the Financial Proposals. iv) The Financial Proposal shall comprise a lump sum amount for preparation of Revised Development Plan exclusive of all taxes as applicable. v) The proposed financial fees quoted by the respective Bidder shall be read aloud and recorded when the Financial Proposals are opened. vi) The lowest financial proposal shall be given a Financial Score (FS) of 100 points. The Financial Score (FS) of other proposals will be determined using the formula: FS = 100 x FL/ F, in which FS is the financial score, FL is the lowest fee quoted, and F is the fees in question, quoted in Indian Rupees. 2.13.3 Final Composite Score i) Proposals will be ranked according to their Final Composite Score (FCS) marked out of 100 marks, which shall be calculated by assigning a weightage of 0.70 to Technical Score (TS) and a weightage of 0.30 to Financial Score (FS). ii) The formula to calculate the Final Composite Score (FCS) is as underFCS = (TS x 0.70) + (FS x 0.30) P a g e 16 REQUEST FOR PROPOSAL (RFP): Consultancy Services for Preparation of Revised Development Plan for Bhuj Area Development Authority ii) The proposer who obtains highest Final Composite Score (FCS) shall be considered as H1. 2. 14 Award of Contract i) The consultant securing the highest Final Composite Score will be invited for negotiation by the Authority; where, upon successful negotiation, the work will be awarded to the firm. In case the negotiations fail, the Authority reserves the right to call the next firm in succession for negotiation. ii) The Authority reserves the right to reject any proposal, irrespective of its Final Composite Score, quoting consultancy fees so low that, in the opinion of the Authority, such Bidder may not be able to perform the required services to the satisfaction of the Authority within the financial fees quoted therein. iii) The Authority reserves the right to reject any proposal, irrespective of its Final Composite Score, and award the work to consultant who may best suit to the Authority by all means. iv) The Authority reserves the right to accept or reject any or all the proposals without assigning any reason. v) Authority’s decision in this regards shall be considered final and binding to all. 2. 15 Tender Fee and Earnest Money Deposit (EMD) i) Proposal submitted in response to this RFP shall be accompanied bya) Tender Fee of INR 10,000 (Indian Rupees Ten Thousand Only) in form of Demand Draft from a Nationalized Bank in favour of “Chief Executive Officer, BHADA”, and payable at Bhuj b) Earnest Money Deposit (EMD) of INR 1,00,000 (Indian Rupees One Lac Only) in form of Demand Draft, for a validity of 180 days, from a Nationalized Bank in favour of “Chief Executive Officer, BHADA”, and payable at Bhuj ii) Submission of Tender Fee and/or EMD drawn from other than Nationalized Banks could result in disqualification of the Proposer. iii) Proposals not accompanied with requisite Tender Fee and/or EMD shall be summarily rejected. iv) The EMD shall be returned to the Proposera) Whose Proposal has not been selected by the Authority for awarding the assignment b) Whose Proposal has been accepted by the Authority for awarding the assignment, but only after signing of the Agreement c) The EMD is not from a Nationalized Bank v) The EMD shall stand forfeited in following situations- P a g e 17 REQUEST FOR PROPOSAL (RFP): Consultancy Services for Preparation of Revised Development Plan for Bhuj Area Development Authority a) In case of fraudulent offer and/or conditional offer b) In case of withdrawal/ revision/ modification/ transfer of terms of Proposal during the Proposal Validity Period c) If the Agreement is not executed by the selected Proposer within the time period specified in the Letter of Award (LOA) or as specified otherwise in subsequent written communications by the Authority. 2. 16 Proposal Validity Period The Proposal Validity Period shall be 180 days from the Proposal Due Date. The validity of Proposal may be extended by mutual consent of the respective Bidders and the Authority. 2. 17 Further Information The Authority retains the right to ask for any further information, document or clarification that may be required from the Proposer for evaluation purposes. 2. 18 Single Proposal No Applicant firm or its associate firm shall submit more than one Proposal in pursuant to this RFP. None of the Team Leader and other members of the Project Team as proposed by the Applicant firm shall be part of the project team proposed by any other Bidder. 2. 19 Cost of Proposal The Applicants shall be responsible for all of the costs associated with the preparation of their Proposals and their participation in the Selection Process including subsequent negotiation, visits to the Authority, project area etc. The Authority will not be responsible or in any way liable for such costs, regardless of the conduct or outcome of the Selection Process. 2. 20 Site Visit and Verification of Information Applicants are encouraged to submit their respective Proposals after visiting the project area and ascertaining for themselves the site conditions, location, surroundings, availability of drawings and other data with the Authority, applicable laws and regulations or any other matter considered relevant by them. 2. 21 Acknowledgement by Applicant It shall be deemed that by submitting the Proposal, the Applicant has: i) made a complete and careful examination of the RFP; P a g e 18 REQUEST FOR PROPOSAL (RFP): Consultancy Services for Preparation of Revised Development Plan for Bhuj Area Development Authority ii) received all relevant information requested from the Authority; iii) acknowledged and accepted the risk of inadequacy, error or mistake in the information provided in the RFP or furnished by or on behalf of the Authority; iv) satisfied itself about all matters, things and information, necessary and required for submitting an informed Application and performance of all of its obligations there under; v) acknowledged that it does not have a Conflict of Interest; and vi) agreed to be bound by the undertaking provided by it under and in terms hereof by them. The Authority shall not be liable for any omission, mistake or error on the part of the Applicant in respect of any of the above or on account of any matter or thing arising out of or concerning or relating to RFP or the Selection Process, including any error or mistake therein or in any information or data given by the Authority. 2. 22 Late Proposals Proposals received by the Authority after the specified time on Proposal Due Date shall not be eligible for consideration and shall be summarily rejected. 2. 23 Modification/ Substitution/ Withdrawal of Proposals i) Applicant may modify, substitute, or withdraw its Proposal after submission, provided that written notice of the modification, substitution, or withdrawal is received by the Authority prior to Proposal Due Date. No Proposal shall be modified, substituted, or withdrawn by the Applicant on or after the Proposal Due Date ii) The modification, substitution, or withdrawal notice shall be prepared, sealed, marked, and delivered, with the envelopes being additionally marked “MODIFICATION”, “SUBSTITUTION” or “WITHDRAWAL”, as appropriate. iii) Any alteration / modification in the Proposal or additional information or material supplied subsequent to the Proposal Due Date, unless the same has been expressly sought for by the Authority, shall be disregarded. 2. 24 Right to Reject Any or All Proposals i) Notwithstanding anything contained in this RFP, the Authority reserves the right to accept or reject any Proposal and to annul the Selection Process and reject all Proposals, at any time without any liability or any obligation for such acceptance, rejection or annulment, and without assigning any reasons thereof. ii) The Authority reserves the right to reject any Proposal if: a) at any time, a material misrepresentation is made or discovered, or P a g e 19 REQUEST FOR PROPOSAL (RFP): Consultancy Services for Preparation of Revised Development Plan for Bhuj Area Development Authority b) the Applicant does not provide, within the time specified by the Authority, the supplemental information sought by the Authority for evaluation of the Proposal iii) Misrepresentation/improper response by the Applicant may lead to the disqualification of the Applicant. If the Applicant is a consortium, then the entire consortium may be disqualified / rejected. If such disqualification / rejection occurs after the Proposals have been opened and the highest ranking Applicant gets disqualified / rejected, then the Authority reserves the right to consider the next best Applicant, or take any other measure as may be deemed fit in the sole discretion of the Authority, including annulment of the Selection Process. 2. 25 Disqualification Even though the Bidders may meet the Proposal Evaluation criteria, they are subject to disqualification for any of the following reasons: i) Misleading or wrong representation in the forms, statements, and attachments submitted as part of the Proposal in response to this RFP. This shall lead to forfeiture of EMD. ii) Record of poor performance such as abandoning the work, rescinding of contract for which the reasons are attributable to the non-performance of the consultant, consistent history of litigation awarded against the applicant or financial failure due to bankruptcy. iii) Has been identified by the Authority as poor performer in implementation of ongoing work for any State/Central Government department, Urban Local Body, or Development Authority. iv) Any effort to influence processing of Bids or award decision by Authority, or any officer, agent or advisor thereof. v) Blacklisted by any Central or State Government/ Government agency/ PSU/ Urban Local Body/ Development Authority. Terms of Reference (TOR) 3. 1 Scope of Work The Scope of Work for preparation of development plan are as follow:• To prepare the Draft Development Plan for the BHADA area as per the provisions of Section 9 to 12 of the GTP&UD Act and Rules, 1976 in consultation and as per the directions of the Authority • To assist BHADA through the procedure of submitting the Draft Development Plan to State Government and publication as laid down in section 9 to 16 (till submission to the State Government under section 16) of the GTP&UD Act and Rules, 1976 The key tasks involved in preparing the DDP shall be as follow: A. Updating Cadastral Map through Re-survey (ground survey by DGPS only), and Preparing a Base Map B. Preparing Existing Land Use Map and assessments of existing land use and land development C. Undertaking Study and Assessment of Existing Situation Assessments D. Consultations through Stakeholders’ Workshops and Focus Group Discussions E. Developing Growth Scenario and Program Brief F. Conceptual DDP Proposals and Preparing DDP proposals for Submission to State Government under Section 9 of GTP&UD Act, 1976 G. Preparation and Publication of the DDP under Section 13 of GTP&UD Act, 1976 H. Reviewing objections/suggestions and modifications to the DP under Section 14 of GTP&UD Act, 1976 I. Publication of Draft Development Plan and submission under Section 15 of GTP&UD Act, 1976 J. Preparation of Draft Development Plan for Submission to State Government for Sanctioning under Section 16 of GTP&UD Act, 1976 All tasks will be monitored by the Authority (BHADA) and will be considered complete after the consultant has obtained the Authority’s approval in writing. Updating Cadastral Map through Re-survey (ground survey by DGPS only), and Preparing a Base Map 1. Updating Cadastral Map through Re-survey (ground survey by DGPS only) As it is widely recognized, the present land records especially the cadastral maps suffer from several shortcomings. The original survey which was done manually with the survey techniques available at that time inherently had its limitations. The error margins were large compared to what are acceptable as on today. Besides the survey carried out measurement of individual parcel under single ownership, and these different drawings/sketches were than mosaiced. The mosaicing done to generate the village maps was not perfect due to the margins of measurement errors. Accurate and updated land records are a prerequisite for urban planning component for socio-economic development. Hence BHADA intends to carry out a re-survey and update the land records along with digitization of cadastral maps. This re-survey is required to enable a seamless integration of cadastral map for the BHADA jurisdiction. The land record system primarily has two set of records- textual and spatial. The key textual records are Form no. 7/12, and Form no. 6, while the key spatial records are Cadastral Maps and Tippans. The Consultant, with support from BHADA, shall collect the textual records of project area from the concerned authority. Though BHADA shall provide the cadastral map for the project area, the consultant may require collecting spatial records form the concerned authority as and if required. The re-survey is to be conducted across the area under BHADA. However, it shall not include Gamtal Areas, TP Scheme areas (if any), Forest area, Defence area, and only boundary of these shall be surveyed and marked. The consultant shall adopt purely the ground survey methodology, using DGPS equipments, for the resurvey process. The activities to be performed include all the necessary tasks to conduct the resurvey process, create spatial data fabric, and collate relevant textual information to generate the required outputs, preparing updated cadastral maps and getting authorization for the updated cadastral maps from DILR/CSS or such other concerned authority. All the activities shall be carried out in consultation with BHADA, DILR/CSS and other concerned authorities. The activities suggested to be carried out as part of the re-survey and updating land records shall consist of the following components: Procuring Survey of India (SOI) Topographic sheets P a g e 22 REQUEST FOR PROPOSAL (RFP): Consultancy Services for Preparation of Revised Development Plan for Bhuj Area Development Authority Establish Ground Control Points across the Project Area Mark corrections in cadastral map reflecting the changes (e.g. sub-division, amalgamation) due to KJP/ Durusti Patrak and Form 7/12, in consultation with BHADA and other concerned authorities Carry out ground survey, and map the identified boundary vertices using DGPS equipments only Generate Land Parcel Maps in an appropriate scale Assist Government officials of DILR/CSS and BHADA in processing and reviewing the Land Parcel Maps including visiting the concerned land parcels for verification, as and if required Modify and finalize the Land Parcel Maps and other relevant records as per the directions/decision of Govt. representative Update and finalize cadastral maps in consultation with BHADA and other concerned authorities Obtain authorization for the updated cadastral maps from DILR/CSS or such concerned authority (The charges payable to such concerned authority for authorization of updated land records shall be paid by BHADA) Note: The activities listed above are indicative to present an overview of this key task, and shall not be considered as exhaustive or limiting in any manner. The selected consultant shall finalise the activities and work plan by conducting meetings/discussions with BHADA, DILR/CSS and as directed and approved by BHADA, DILR/CSS. 2. Preparing Base Map based on Updated Cadastral Map The Base Map of the project area shall be prepared based on the updated cadastral maps, other required and relevant documents/maps, and ground survey using DGPS and ETS instruments. Carry out ground survey in co-ordination with the Ground Control Points established for updating cadastral maps, by using DGPS and ETS Identify and collect other relevant maps, in consultation with the Authority, from concerned agencies, geo-reference it (based on Ground Control Points and outcome of DGPS ground survey), with the authorized Updated Cadastral Maps Survey, mark and digitize physical and natural features that are not captured during ground survey for updating cadastral maps. These features shall mainly include road network, built-up, actual status of natural features, etc. P a g e 23 REQUEST FOR PROPOSAL (RFP): Consultancy Services for Preparation of Revised Development Plan for Bhuj Area Development Authority Digitize features such as power transmission line, oil/gas pipeline, CRZ line (if applicable), canal lands, railway lands, and other such features as and if relevant based on ground survey and maps/details collected from concerned authorities Notes: (a) BHADA intends to procure relevant and recent Satellite Image for the project area. And Bidders are required to mention the details of suggested Satellite Image, its availability, source and approximate time required for procurement. (b) The Selected Consultant shall have to assist BHADA in identifying and procuring the Satellite Image immediately upon signing of the contract/ award of work. (c) The Satellite Image, if procured, shall only be considered as an aid in carrying out the ground survey, identification of features, and keeping a check on the survey process, mapping and the outcomes. And it shall not be used to digitize the base map. (d) Cost of the Satellite Image, if procured, shall be borne directly by BHADA. B. Preparing Existing Land Use Map and assessments of existing land use and land development 1. Existing Land Use Survey and Preparing Existing Land Use Map Existing land use map will be prepared based on interpretations from Satellite Images, primary field survey, and data/maps from relevant sources. The satellite images shall be considered as only an aid in identifying the natural features, physical features, built-up, landmarks for an efficient field survey. The satellite images shall not be used for identifying the land use. The identification of existing use for lands and buildings shall be based on a primary field survey carried out by field survey teams across the jurisdiction of the Authority. Based on primary survey, all the land and built-up shall be classified into various categories as per its present use and assigned the respective use for preparing existing land use map. The classifications of land uses, building uses and the manner of interpretation of uses during field visits have to be developed by the Consultants in consultation with the Authority. The existing land use of the planning area shall be transferred on the Base Map in GIS to prepare Existing Land Use Map. In addition heritage buildings and precincts, CRZ (if applicable), forest land, slums, government and semi Government lands, railway lands, lands under the ownership/ control of any public/ semi-public agency, etc shall also be identified distinctively in Existing Land Use Map. Extent and Pattern of sprawl/ Development The existing sprawl/ development shall be mapped based on the outcome of Base Map and Existing Land Use Map. A map presenting Extent of Sprawl/ Development shall be prepared indicating- i) all existing building; ii) building under construction, iii) lands under development, and iv) unconstructed/ undeveloped plots on Non Agriculture Land (including lands for which NA permission is obtained). The map shall be prepared based on field observations during existing land use survey, and data/ maps from relevant sources. In case archival data is available, a time series assessment of land development for a certain time period may be done. 3. Existing Land Use Assessment The land area occupied by various uses shall be derived, based on the Existing Land Use Map, and tabulated. The break-up or composition of Existing Land Use shall be analysed to understand the extent of area and ratio of different land use. The same shall also be compared with the proposed land use area statements of the sanctioned Development Plan (presently under force). The consultant shall also carry out spatial analysis of existing land use map, and assess the same in comparison with the proposed land use zones of the sanctioned Development Plan (presently under force). 4. FSI Consumption Assessment A general assessment of the FSI consumption and built up area (not legally accurate, i.e. not required to match with the approved plans and other official documents) shall be carried out. A suggested way of doing this is mapping the foot prints from the satellite images and assessing the number of storeys based on field observations during existing land use survey and arriving at the estimated built up area and FSI consumption. The details and assessments shall be documented in GIS platform in synchronization with the existing land use details. 5. Violations of Development Regulations A broad brush assessment of violations of development regulations pertaining to shall be carried out. The violations to be examined herein are mainly those pertaining to building height, road side margin, distance from water bodies, heritage buildings, transmission lines, etc. This shall be a general assessment (not detailed and/or legal assessment) to broadly understand the areas/ locations witnessing significant violations, kinds of violation and their spatial concentration (if any). The assessment shall be carried out for areas other than Gamtal, Slums, Govt./ Semi- govt. establishments. Undertaking Study and Assessment of Existing Situation Assessments The following Studies and Analysis shall be carried out: a) Study and understand the regional context of Bhuj in terms of location, connectivity, relationship of Bhuj with the hinterland, surrounding urban centres, functional linkages, economic activities, infrastructure, etc. b) Obtain, compile and analyse data on demographic profile, and also carry out spatial and time-series (trend) analysis of the same c) Obtain data on socio-economic profile, and analyse work force, occupational pattern, and other socio-economic parameters. Study and understand the important economic nodes, their locations, predominant activities, informal activities. Also collect and assess data/information on ongoing/upcoming initiatives for economic development of the town and surrounding region to ascertain potential for economic growth and employment generation from various sectors/activities. d) Obtain, compile and analyse data on existing physical infrastructure- water supply, sewerage, storm water drainage, solid waste management, electricity, gas and telecommunications. e) Obtain, compile and analyse data on existing social infrastructure- open spaces, recreational spaces and amenities, health facilities, education facilities, socio-cultural and civic facilities. f) Obtain, compile and analyse data on road network, roads of different classification, width and hierarchy. Also carry out traffic surveys at critical locations as identified in consultation with the Authority to understand the traffic volume and modal split. Collect and analyse data on parking facilities and public transportation. g) Review the maps/ documents/ details of the sanctioned Development Plan (DP) and Development Control Regulations (DCR). h) Assess the housing scenario including informal housing/ slums, and identify housing need, demand and supply within Project Area. i) Collect, compile and analyse data on land prices and real estate property prices, as per Ready Reckoner Rates and market rates, for different areas/locations across the Project Area. Also prepare a map representing land prices and property prices. j) Obtain and compile data on Government and Semi-government lands, including lands and buildings under the ownership or control of public/semi-public agencies, Urban Local Body (ULB) and BHADA. k) Obtain data on the environmental features i.e. water bodies, forests, hills, etc. and also prepare a map exhibiting the same. Also carry out a broad assessment of environmentally sensitive areas and identify key issues and concerns. l) Collect and analyse data related to earthquake and other natural hazards- past occurrences and effects of such events. Understand critical areas prone to hazards and adversity of hazards, and recognize planning concerns for disaster prevention and mitigation. (Conduct consultation with Gujarat State Disaster Management Authority and BHADA) m) Enlist and map heritage areas/buildings of architectural, natural or cultural significance, and analyse relevant details about the same. n) Collect, compile and assess data related to tourism scenario, major tourist attractions, infrastructure and facilities required to support tourism. o) Obtain and analyse data on important ongoing and upcoming future proposals of various Government Departments/ Agencies related to economic development, urban and regional infrastructure. Also document the relevant spatial details of such projects/proposal and super-impose on the Base Map. These projects/ proposals shall be considered and integrated while preparing the DDP. p) Obtain, compile and analyse relevant policies/strategies/regulations proposed by various agencies. D. Consultations through Stakeholders’ Workshops and Focus Group Discussions Consultations shall be carried out with various stakeholders through workshops for - (a) presenting the existing situation assessment, (b) identification of issues and concerns, needs and aspirations, (c) developing growth scenario, building the vision and objectives of the DDP, in mutual consultations with BHADA. The Consultant may also conduct, with support from the Authority, focus group discussions with stakeholders from industry, trade and commerce associations, academics, civil society groups, public/semi-public agencies, etc. The Consultant shall prepare a Consultations Report documenting the minutes. Venue for the workshops, and related infrastructure would be arranged by the Authority. However the Consultants would be responsible for stakeholder identification (facilitated by the Authority); drafting shareholders invitations; preparing maps, displays, handouts, and presentations as required for the workshop; discussions; capturing and noting all comments and feedback. Developing Growth Scenario and Program Brief Consultants shall develop future growth scenarios for the plan period taking into account the past trends, and growth potential of Bhuj and surroundings. The scenarios shall be developed by envisaging economic growth, growth of employment (in formal and informal sector), population growth, household formation and income distribution, in consultation with the Authority. The envisaged growth scenario shall then be translated into program brief- (a) demand for land for various uses including housing, (b) demand for physical infrastructure like water, sewerage, solid waste management, roads and transportation, (c) demand for social infrastructure like education, healthcare services and recreational facilities and other public utilities and services. F. Conceptual DDP Proposals and Preparing DDP proposals for Submission to State Government under Section 9 of GTP&UD Act, 1976 Based on the selected Growth Scenario, a conceptual plan should be developed. In particular it will address the following: Formulate the vision, objectives for DDP (Comprehensive as well as sector / component wise) Demand for land and built space – residential, transportation, commercial, amenities, etc and allocation across different parts of BHADA. Strategies and principles of planning to be followed while formulating DDP. The DDP proposal should be prepared strictly as per the directions of and consultation with BHADA at every stage. Preparation of DDP shall lead to develop following outcomes Proposed Road Network Plan Proposed Land Use Plan Proposed physical infrastructure plan Proposed sites for social amenities Development Control Regulations Strategy for affordable housing, slums, informal activities Strategy for rejuvenation and redevelopment of the old city centre Strategy for integration of land use and transportation, including suggestion for future urban transit modes and routes, parking facilities Considerations for environmental and heritage preservation P a g e 28 REQUEST FOR PROPOSAL (RFP): Consultancy Services for Preparation of Revised Development Plan for Bhuj Area Development Authority Phasing plan, Marking of TP Scheme areas Financing and implementation mechanism of development plan proposal The consultant shall submit the DDP proposals to the Authority. Upon approval, assist the Authority in submission of the same to the state Government as per provisions of section 9 of GTP&UD Act, 1976. G. Preparation and Publication of the DDP under Section 13 of GTP&UD Act, 1976 The DDP proposals, as developed in the preceding stage, shall be compiled, submitted and published as per the provisions of Section 13 of GTP&UD Act, 1976. It shall include: Existing land use map (1:8000) in format appropriate for publication Proposed land use map (1:8000) in format appropriate for publication Draft Development Plan Report (covering outcome of all previous tasks) Draft Development Control Regulations H. Reviewing objections/suggestions and modifications to the DP under Section 14 of GTP&UD Act, 1976 Consultant shall carry out following tasks, as per the formats/ requirements of the GTP&UD Act, 1976 Assisting BHADA in collecting, documenting and reviewing the objections and suggestions received under section 14 Assisting BHADA in finalizing the modification to DP as an outcome of the objections and suggestions I. This additional time shall be called Remedy Period and shall be approved by the Authority in written on the request sent to the Authority by the Consultant in writing. The Authority may or may not approve such Remedy Period. The time of Remedy Period shall also be as approved by the Authority. If the Consultant is not able to comply with the timeline including Remedy Period, if any, it may attract Liquidated Damages at the sole discretion of the Authority. v) The Authority shall not consider following circumstances as delay and time period required for these circumstances shall be excluded from the delivery schedule, provided the Consultant put proper and timely effort and resources as required to not to have any such delay and shall keep the authority informed about such effort through proper correspondence and providing proper evidence in this regard. a) Delay in procurement of Satellite Image, if procured by the Authority, and other information which is not under purview or jurisdiction of the Authority. b) Delay in approval of previous deliverables on which the subsequent deliverables depend substantially. c) Delay in obtaining data from Government offices/institutions. Obligations and Undertakings 4. 1 General Obligations of the Consultant The Consultant shall: i) Prepare the Revised Development Plan for BHADA in accordance with GTP&UD Act and Rules, 1976 and amendments made to the Act. ii) Provide all assistance to the Authority or its representative as they may reasonably require for the approval of the all stages of the development plan. iii) Provide to the Authority, the deliverables as per timeline set in the RFP document and as demanded by the Authority. iv) Create a database of all information collected, catalogue it and make it available for inspection and shall be handed over to the authority from time to time and on completion, in editable version. The database shall be the property of the Authority. v) Conduct meeting every 2 weeks with the Authority to report the progress on the assignment. The appointed firm will also submit a monthly progress report. vi) Open a local office in the neighbourhood of BHADA office at Bhuj and shall have to enlist full contact details of staff stationed at the local office to the Authority within 15 days of the issue of the work order. vii) Ensure completion of the preparation of DDP even in case of time over run and delay in submission of deliverables. viii) Make efforts to maintain harmony and good relations among the personnel employed in connection with the performance of the consultants obligations under this RFP. ix) Have requisite organization and designate and appoint suitably qualified personnel as it may deem appropriate to supervise the execution of its obligation under this RFP and deal with the Authority or its representative and to be responsible for all necessary exchange of information required pursuant to this RFP. x) Undertake, do and perform all such act, deeds and things as may be necessary or required to adhere to Completion of Work under and in accordance with this RFP. P a g e 34 REQUEST FOR PROPOSAL (RFP): Consultancy Services for Preparation of Revised Development Plan for Bhuj Area Development Authority xi) Allow and entitle the Authority or a nominee of the Authority to step into this contract at the Authority’s discretion, in place and substitution of the consultant in the event of Termination pursuant to the provisions of this RFP. 4. 2 Obligations of the Authority The Authority shall: i) Permit the consultant to work on the assignment site to execute its obligations. ii) Grant or where appropriate provide necessary assistance to the consultant in securing required permissions, information and documents in connection with preparation of the Development Plan. iii) Make payments in timely manner as per terms mentioned herein for work completed in a satisfactory manner. General Conditions 5. 1 Letter of Acceptance and Agreement As the first step for the assignment, the Authority shall issue the successful bidder a Letter of Acceptance. This letter will refer to the proposal and confirm its acceptance. The Authority and the successful bidder shall then enter into an Agreement in due course which shall consist of Terms and Conditions as mutually agreed between the parties and the additional terms that the Authority finds suitable for carrying out the work pertaining to preparation of Revised Development Plan- 2025 for BHADA as per the Terms of Reference mentioned in this RFP. 5. 2 Performance Security The successful Bidder shall deliver to the Authority, within 15 days of from the date of agreement, an initial Performance Security in the form of Bank Guarantee for an amount equivalent to 5% of the contract value. The Bank Guarantee shall be from the Nationalized/ Scheduled Banks or banks as approved by BHADA only. 5. 3 Site Office The Consultant shall setup a site office in Bhuj with necessary computers, software, printer, scanner, telephone, and other infrastructure to the satisfaction of the Authority. The office shall be manned by at least one professional with relevant experience of at least 3 years. 5. 4 Liquidated Damages The consultant shall have to submit the deliverables as per timeline specified in the RFP. In case of non-compliance, the Authority shall deduct 1% of the total contract value per week as Liquidated Damages (LD) for each week of delay beyond the Remedy Period. The LD shall be considered up to the previous week. For avoidance of doubt if the consultant submit the delayed deliverable in the middle of the week he shall be liable to pay LD for only up to the end of the previous week and not for any part of the week in which the Deliverable has been delivered. The total value of such Liquidated Damage shall not exceed 15% of contract Value. For this purpose, the Contract Value shall be counted exclusive of any payments that may be made for service Tax. P a g e 36 REQUEST FOR PROPOSAL (RFP): Consultancy Services for Preparation of Revised Development Plan for Bhuj Area Development Authority 5. 5 Tax liability The consultancy fees, as mentioned in the Financial Proposal or as finalized in the Agreement subsequent to negotiations, should include all taxes applicable as on the date of submission of the proposal except Service Tax. Any deviation due to change in the rate of Services Taxes would be adjusted at actual. The Authority shall be entitled to deduct tax at source as may be applicable. 5. 6 Understanding of Terms By submitting a proposal, each proposer shall be deemed to acknowledge that it has carefully read all parts of this RFP, including all forms, schedules and annexes hereto, and has fully informed itself as to all existing conditions and limitations. 5. 7 Failure to Agree with the Terms and Conditions Failure of the successful bidder to agree with the Terms & Conditions of the RFP shall constitute sufficient grounds for the annulment of the award, in which event the Authority may award the contract to the next best value bidder or call for new proposals. 5. 8 Signing of Agreement At the same time as Authority notifies the successful proposer that its proposal has been accepted and after acceptance of the award of work by the successful proposer in writing, the Authority shall enter in to a separate agreement, incorporating all conditions as mutually agreed between Authority and the successful proposer. The terms and conditions of this RFP shall constitute the major part of the agreement. Such Agreement may have additional clause and/or provisions that further explain or clarify provision of this RFP, or certain provisions which the Authority may require to include as per law or being a publicly owned institution, as per its practices. 5. 9 Authority’s Right to Reject or Accept Any Proposal Authority reserves the right to accept or reject any proposal, and to annual the bidding process and reject all proposals at any time prior to award of contract, without thereby incurring any liability to the affected proposer or bidders or any obligation to inform the affected proposer or Bidders of the ground for Authority’s action. P a g e 37 REQUEST FOR PROPOSAL (RFP): Consultancy Services for Preparation of Revised Development Plan for Bhuj Area Development Authority 5. 10 Appointment of Project Management Consultant The Authority, as its own discretion, may appoint a Project Management Consultant (PMC) for review and monitoring of the Revised Development Plan prepared by the consultant. The PMC shall; Review and comment on the all deliverable submitted by the consultant. Monitor the specified timeline for deliverables and recommend liquidated damages, as specified in the RFP, in case of delay. Coordinate between the Authority and the Consultant on fortnightly basis and report the Authority regarding progress of the preparations. The consultant shall cooperate with the PMC and revise, modify and expedite the submissions as per its recommendation in consultation with the Authority. 5. 11 Termination of Contract and Termination payment The Contract may be terminated by either party: i) By mutual agreement or by either party for its convenience by giving four week written notice, or ii) In case of breach by one party of the terms and conditions of this RFP and its failure to remedy such breach within a period of four weeks from date of receipt of a default notice in this regard from the non breaching party to the breaching party, or iii) In case of the filing by or against the other party in any court of competent jurisdiction of a petition in bankruptcy or insolvency, or for a scheme of rearrangement (reorganization) with creditors, for the appointment of a receiver or trustees; or the making of an assignment for the benefit of creditors. In case of issue of termination notice, the Authority will pay Consultant all payments due as of the termination date stated in the notice, including those for the proportion of work completed in the ongoing stage, until termination as per list of deliverables and timeline for completion of work set in the RFP document. 5. 12 Confidentiality The Consultant shall agree not to disclose to any third party or use confidential or proprietary information of the Authority learnt during the course of the Work. P a g e 38 REQUEST FOR PROPOSAL (RFP): Consultancy Services for Preparation of Revised Development Plan for Bhuj Area Development Authority 5. 13 Liability In no event shall the consultant or the Authority be liable, one to the other, for special or, indirect damages in connection with or arising out of the furnishing performance or use of the services or deliverables provided by consultant under the terms of this RFP. 5. 14 Indemnity The consultant shall, during the term of the whole contract, indemnify and hold the Authority harmless from any loss, claim or damage, third party suit, proceedings, judgements, cost and expenses (including reasonable attorney fees) relating to any infringement claim by a third party if the same is based on any consultant materials provided to Authority by or on behalf of Consultant or the access and use by Authority of any Consultant provided software or materials in connection with Consultants performance of services hereunder without breaching the terms of the RFP. 5. 15 Force Majeure Should either Party be prevented from performing any of its responsibilities by reason caused by an Act of God or any cause beyond its reasonable control including but not limited to work stoppages, fires, riots, terrorist strikes, accidents, explosions, floods, cyclones, storms wars, revolutions, acts of public enemies, blockages, embargos any laws, orders, proclamations, ordinances, demands or requirements for any government or authority or representative of any such government including restrictive trade practices or regulations strike, shutdowns, labour disputes which are not instigated for the purpose of avoiding obligations herein failures and/or fluctuations in electric power, light, telecommunications or air-conditioning equipment the time for performance shall be extended until the operation or such cause has ceased, provided the party affected gives prompt notice to the other of any such factors or inability to perform, resumes performances as soon as such factors disappear or are circumvented. Under this clause, if either party is excused performance of any obligation for a continuous period of 30 days, then the other party may at any time thereafter while such performance continues to be excused, terminate the Contract without liability, by notice in writing to the other. However, the aforementioned reasons do not include lack of personnel and non-performance of third parties hired. The Consultant shall not be entitled to any termination payment from the Authority in case of force majeure, including termination of contract due to force majeure. Authority shall pay the consultant all payments due as of the termination date as stated in the notice, including those for the proportion of work completed fully in the on-going stage, until termination. P a g e 39 REQUEST FOR PROPOSAL (RFP): Consultancy Services for Preparation of Revised Development Plan for Bhuj Area Development Authority The payment shall not be released by the Authority until any due from Consultant under this contract is remained unpaid. 5. 16 Independent Consultant Consultant shall be deemed to be acting as an independent consultant of the Authority and shall not be deemed an agent, legal representative, joint venture or partner of the Authority. Neither party is authorized to bind the other to any obligation, affirmation or commitment with respect to any person or entity. 5. 17 No Assignment Neither party shall assign or transfer all or any of its obligation under this arrangement including any statement of Work to any person without the prior written consent of the other party, which consent shall not be unreasonably withheld or delayed. 5. 18 Representations and Warranties of the Consultant The consultant represents the warrants to Authority that: i) It is duly organized, validly existing and in good standing under the laws of India; ii) It has full power and authority to execute, deliver and perform its obligations under the RFP and to carry out the transactions contemplated hereby; iii) It has taken all the necessary corporate and other action under Applicable Laws and its constitutional documents to authorize the execution, delivery and performance of the RFP iv) It has the financial standing and capacity to undertake the Project; v) The RFP constitutes its legal, valid and binding obligation enforceable against it in accordance with terms hereof; vi) It is the subject to civil and commercial laws of India with respect to the RFP and it hereby expressly and irrevocably waives any immunity in any jurisdiction in respect thereof; vii) The execution, delivery and performance of the RFP will not conflict with, result in the breach of, constitute a default under or accelerate performance required by any of the terms of the Consultant’s Memorandum and Articles of Association or any Applicable Laws or any covenant, agreement, understanding, decree or order to P a g e 40 REQUEST FOR PROPOSAL (RFP): Consultancy Services for Preparation of Revised Development Plan for Bhuj Area Development Authority which it is a party or by which it or any of its properties or assets is bound or affected; viii) There are no actions, suits, proceedings, or investigations pending or, to the Consultant’s knowledge, threatened against it at law or in equity before any court or before any other judicial, quasi judicial or other authority the outcome of which may result in the breach of or constitute a default of the Consultant under the RFP or which individually or in the aggregate may result in any Material Adverse Effect; ix) It has no knowledge of any violation or default with respect to any order, writ, injunction or any decree of any court or any legally binding order of any Government Agency which may result in any material adverse effect or impairment of the Consultant’s ability to perform its obligations and duties under the RFP; x) It has complied with all Applicable Laws and has not been subject to any fines, penalties, injunctive relief or any other Civil or criminal liabilities which in the aggregate have or may have Material Adverse Effect; xi) No representation or warranty by the Consultant contained herein or in any other document furnished by it to Authority or to any Government Agency in relation to Applicable Permits contains or will contain any untrue statement of material fact or omits or will omit to state a material fact necessary to make such representation or warranty not misleading; and xii) No sums, in cash or kind, have been paid or will be paid, by or on behalf of the Consultant, to any person by way of fees, commission or otherwise for securing the RFP or entering into of the Agreement or for influencing or attempting to influence any officer or employee of authority in connection therewith. 5. 19 Governing Law and Jurisdiction The Contract shall be constructed and interpreted in accordance with and governed by the laws of India and the Courts at Kachchh shall have jurisdiction over all matters arising out of or relating to the Contract. 5. 20 Ownership of Intellectual Property i) The ownership of the soft and physical formats and of base maps, other maps, survey reports, other reports, draft and final Development Plan and any other intellectual property shall be with the Authority. ii) The Authority shall not be obliged to pay for any incomplete work.
