1. Declaraciones Básicas. Todas las operaciones de venta realizadas por KIDE S.
Coop., (en adelante KIDE) quedan sometidas a las presentes condiciones generales de venta, que se aplicarán con carácter preferente y sustituirán a cualesquiera
términos y condiciones que le hayan sido
ofrecidos o mencionados en cualquier
momento en relación con los productos
y/o servicios a que se refiera el pedido
en cuestión, con excepción, en su caso
de las condiciones particulares pactadas
por escrito con el comprador, que tendrán
preferencia sobre las presentes condiciones generales, y cuya aplicación se limitará al pedido afectado por dichas modificaciones particulares. El comprador acepta
las presentes condiciones generales de
venta por el sólo hecho de cursarnos su
pedido.
1. Basic declarations. All sales transactions made by KIDE S. Coop (hereinafter
referred to as KIDE) are subject to these general terms and conditions of sale,
which shall be preferentially applied and
replace any terms and conditions which
may have been offered or mentioned
at any time with regard to the products
and/or services referring to the order in
question, except - where appropriate - in
the case of those specific terms and conditions agreed upon in writing with the
purchaser which shall have preference
over the ones contained herein and the
application of which shall be confined to
the order affected by said specific modifications. The purchaser accepts these
general terms and conditions of sale for
the sole purpose of our processing its
order.
1. Déclarations de Base. Toutes les
opérations de vente réalisées par KIDE
S. Coop. (ci-aprés KIDE), sont soumises
aux présentes conditions générales de
vente, qui sont appliquées á caractére préférentiel et remplacent tous termes ou conditions ayant été offerts ou
mentionnés, á un moment donné, concernant les produits et/ou les services
relatifs á la commande en question,
excepté, le cas échéant, les conditions
particuliéres accordées par écrit avec
l’acheteur, qui ont préférence sur les
présentes conditions générales et dont
l’application se limite á la commande
concernée par ces modifications particuliéres. Le seul fait de passer une commande entraine, pour l’acheteur, l’adhésion compléte aux présentes conditions
générales de vente.
2. Precio. Los precios de esta lista de precios o de la oferta se hallan especificados
en euros y no incluyen el IVA u otros impuestos. KIDE se reserva el derecho a revisar el precio en los supuestos en que se
produzcan variaciones en las cantidades,
calidades, especificaciones técnicas o diseños efectuadas por exigencias del comprador con posterioridad a la confirmación
del pedido. El montaje no está incluido en
los precios de la lista de precios.
2. Price. The prices of these price list or
of the tender are specified in euros and
do not include VAT or any other tax. KIDE
reserves the right to review the price in
the event that there should be any variations in the amounts, quality, technical
specifications or designs made at the
request of the purchaser subsequent
to confirmation of the order.Assembly
is not included in the prices of the price
list.
2. Prix. Les prix de ce tarif ou de l’offre
sont en Euros et n’incluent pas la TVA ni
d’autres taxes. KIDE se réserve le droit de
modifier le tarif, dans le cas de variations
des quantités, qualités, spécifications
techniques ou de design, réalisées conformément aux exigences de l’acheteur
présentées postérieurement á la confirmation de la commande.Les frais de
montage ne sont pas compris dans le
présent tarif.
3. Entrega y transmisión de la propiedad. La entrega de los productos será
EXWORKS KIDE (Incoterms 2010) excepto lo pactado en el contrato o pedido. La
propiedad de los productos sólo se transmitirá cuando se haya realizado su completo pago. En cualquier caso la carga y
descarga de los productos corresponderá
al comprador.
3. Delivery and transfer of ownership.
Delivery of the products shall be EX-WORKS KIDE (Incoterms 2010) except if something different is agreed in the contract
or order. Ownership of the products shall
only be transferred in cases where full
payment has been made. In any event,
the purchaser shall be responsible for unloading.
3. Livraison et transmissiom de la
propriété. Les produits seront livrés
EX WORKS KIDE (incotems 2010) sauf
ce qui a été convenu dans le contrat
ou dans la commande. KIDE conserve
la propriété du matériel jusqu’au paiement intégral du prix. Le déchargement
correspond, dans tous les cas, á l’acheteur.
4. Pago. Salvo pacto en contrario, el precio de los productos se abonarán por adelantado, en la moneda consignada en la
oferta y en la fecha de la factura. De no
efectuarse el pago al vencimiento fijado,
KIDE añadirá el coste financiero correspondiente al retraso en el pago. Todo retraso en el pago, cualquiera que fuese el
motivo, incrementará de pleno derecho el
precio, en los intereses fijados de acuerdo a la ley 3/2004 de 29 de diciembre para
la prevención de la morosidad en operaciones comerciales. Si fuese necesario
recurrir a procedimientos judiciales para
proceder al cobro, el monto de la deuda
reclamada se incrementará en los gastos
incurridos para su reclamación, que no
podrán ser inferiores al 15% de la deuda,
en concepto de cláusula penal, todo ello
sin perjuicio del derecho de KIDE a reclamar cuantos daños y perjuicios hubiese
ocasionado el incumplimiento del comprador. El impago de una deuda a su vencimiento, conllevará automática mente el
vencimiento anticipado y la exigibilidad
de la totalidad del saldo restante a pagar,
así como la suspensión de las entregas y
trabajos.
4. Payment. Except where there exists
any agreement to the contrary, the price
of the products shall be paid before shipment in the currency assigned for such
purpose in the tender and on the date of
the invoice. In the event of failure to pay
by the due date, financial expenses will
be charged by KIDE. In the event of any
delay in payment, irrespective of the cause, KIDE shall be entitled to increase the
price at the rates of interest laid down in
accordance with Act 3/2004 dated 29th
December governing the prevention of
arrears in business transactions. Should
it be deemed necessary to resort to legal
procedures in order to procure payment,
the amount of the debt claimed shall be
increased in the expenses incurred for
claiming the latter. This shall not be less
than 15% of the debt by way of penalty
clause, all the aforementioned without
prejudice to the right of KIDE to claim for
any damages which failure to comply on
the part of the purchaser may have caused. Non-payment of a debt by the due
date thereof shall automatically entail advance expiry of the due date and enforceability of the entire balance still to be
paid, in addition to the suspension of deliveries and work.
4. Paiement. Sauf pacte contrarié, les
prix sont réglés d’avance, dans la monnaie assignée dans l’offre et á la date
figurant sur la facture. Passé le délai accordé, KIDE chargera les frais financiers
correspondants.Tout retard de paiement,
quelle qu’en soit la raison, entrainera de
plein droit une augmentation du prix,
correspondant au taux d’intérét légal en
vigueur, conformément á la Loi 3/2004
du 29 Décembre, relative á la prévention
de la morosité des transactions commerciales. Si le recours á une procédure
judiciaire s’avérait nécessaire pour le recouvrement, le montant de la dette sera
augmenté des frais de justice, qui ne pourront en aucun cas étre inférieurs á 15%
de la dette, á titre de clause pénale, sans
préjudice du droit de KIDE de réclamer
les dommages et intéréts découlant du
manquement de l’acheteur á ses obligations. Le non-paiement de la dette á son
échéance entrainera automatiquement
son exécution anticipée et la réclamation
du paiement du solde restant, ainsi que la
suspension de toute livraison ou travaux.

5. Garantía. KIDE garantiza todos sus
productos durante un periodo de DOCE
MESES, a partir de la fecha de expedición, contra todo defecto de fabricación.
Esta obligación de garantía consiste EXCLUSIVAMENTE en la sustitución de la
parte del producto reconocida defectuosa, no incluyéndose: refrigerante, gastos
de transporte, instalación, montaje o desmontaje, ni los daños y perjuicios que se
hubiesen ocasionado. La pieza entregada
en sustitución de la defectuosa, quedará
garantizada en los mismos términos y
condiciones aplicables a la sustituida y
por el periodo que resta por transcurrir de
la garantía. Las piezas o productos defectuosos deberán ser devueltos a KIDE, a
portes pagados, en un plazo máximo de
QUINCE DIAS, desde la expedición de los
productos sustitutos, pasado el cual KIDE
se reserva el derecho a abonar dichos
productos/piezas sustitutos. Quedan excluidos de la garantía los defectos que se
deban a una utilización o mantenimiento
inadecuado de los productos, a desgastes normales, a la mala ejecución de
quien utilice o realice las instalaciones y/o
a reparaciones desacertadas hechas por
el comprador o terceros. Cuando se contrate el servicio de MONTAJE, éste tendrá
una garantía de QUINCE DIAS, a partir de
la fecha de terminación del montaje. En
los productos comercializados por KIDE,
subsistirá la garantía del fabricante de dichos productos, en las condiciones establecidas por el mismo, y que KIDE revertirá al comprador. El comprador mantendrá
a KIDE indemne de cualquier reclamación
que recibiese de terceros por cualquier
causa diferente de un defecto de fabricación de los productos, así como de todos
los gastos incurridos en la defensa frente
a las citadas reclamaciones.
5. Warranty. KIDE guarantees all its products for a period of TWELVE MONTHS
from the date of dispatch against any
manufacturing defect. This warranty
obligation consists EXCLUSIVELY of the
replacement of the part of the product recognised as being defective and does not
include: any expenses related to refrigerant, shipment, installation, assembly or
dismantling, or any damages which may
have been caused. The piece delivered
in replacement of the defective one shall
be guaranteed under the same terms and
conditions applicable to the one being
replaced for the remaining period for validity of the warranty. Any defective parts
or products must be returned to KIDE, carriage paid, within a maximum period of
FIFTEEN DAYS following dispatch of the
replaced products, after which time KIDE
reserves the right to pay the invoice of
the aforementioned products/parts replaced. The following are not covered by the
warranty: defects owing to misuse or improper maintenance of the products, normal wear and tear, improper use of whoever is using them or improper installation
and/or repairs carried out by the purchaser or third parties. Where an ASSEMBLY
service is contracted, this shall be covered by a FIFTEEN DAY warranty period
from the date of completion thereof. In
the case of products marketed by KIDE,
the manufacturer’s warranty of said products shall remain under the terms and
conditions laid down therein and which
KIDE shall revert to the purchaser. The
purchaser shall hold KIDE harmless from
any claim which may be made against it
by third parties for any reason other than
that of a manufacturing defect in the products, in addition to all expenses incurred
in defending against such claims.
5. Garantie. KIDE garantit tous ses produits
durant une période de DOUZE MOIS, á
compter de la date de sortie d’usine, contre
tout défaut de fabrication. Cette obligation
de garantie est EXCLUSIVEMENT limitée au
remplacement de la piéce reconnue défectueuse. Les frais de réfrigérant, transport,
d’installation, de montage et de démontage, ainsi que les dommages et intéréts
éventuellement occasionnés, sont exclus
de la garantie. La piéce livrée en remplacement de la piéce défectueuse est garantie
dans les mémes termes et conditions que
la piéce remplacée et pour la période restante de garantie. Les piéces ou produits
défectueux devront étre renvoyés á KIDE,
port payé, dans un délai de QUINZE JOURS
maximum, á compter de la date d’expédition des produits de remplacement. Dans
le cas contraire, KIDE se réserve le droit de
faire un avoir pour les produits/piéces de
remplacement. La garantie ne couvre pas
les défauts découlant d’une mauvaise utilisation ou d’une maintenance incorrecte des
produits ou conséquence de l’usure normale, d’une mauvaise exécution de l’usager ou
du monteur de l’installation, ou de réparations effectuées par l’acheteur lui-méme ou
par un tiers. En cas de commande du service de MONTAGE, la garantie est de QUINZE
JOURS, á compter de la date d’achévement
du montage. Pour les produits commercialisés par KIDE, la garantie applicable est celle
du fabricant du produit en question, dans
les termes et conditions établies par ce dernier et que KIDE appliquera á l’acheteur. La
responsabilité de KIDE ne saurait en aucun
cas étre engagée en cas de réclamation présentée á l’acheteur par des tiers pour toute
cause autre qu’un défaut de fabrication des
produits et KIDE n’assumera en aucun cas
les dépenses éventuellement dérivées de
ces réclamations.
6. Revisión del material y aceptación.
El Comprador estará obligado a revisar
los productos, al recibirlos. Si una vez
recibida la mercancía, no se verifica la
misma y se firma como conforme el albarán, o en el plazo de 24 horas no se
realiza la reclamación oportuna, KIDE no
responderá de los vicios manifiestos.
El comprador se obliga a firmar el albarán de entrega del material y/o el acta
de aceptación de las instalaciones una
vez que lo haya recibido; en todo caso
se considerará aceptado el material sin
reservas desde el momento en que comience su utilización.
6. Review of the material and acceptance.
The purchaser shall be duty bound to review
the products on reception thereof. If, once
the goods have been received, they are not
duly checked and the delivery note is signed
as having been accepted, or within a period
of 24 hours the relevant claim should fail to
be made, KIDE shall not be liable for any obvious defects. The purchaser is duty bound
to sign the delivery note of the material and/
or record of acceptance of the installations
once it has been received; in any event, the
material shall be deemed as having been
unconditionally accepted from the time of
commencement of use thereof.
6. Vérification du matériel et acceptation. L’acheteur s’oblige á vérifier les
produits á la réception. Si, une fois la
marchandise réceptionnée, elle n’est
pas vérifiée et le bulletin de conformité
est signé, ou si dans un délai de 24 heures aucune réclamation n’est présentée,
KIDE n’assumera aucun des vices manifestés. L’acheteur s’oblige á signer l’accusé de réception du matériel et/ou le
certificat d’acceptation des installations,
dés leur réception. Dans tous les cas, le
matériel est considéré accepté sans réserve dés l’instant oil il commence á étre
utilisé.
7. Jurisdicción. Para la resolución de
cualquier cuestión o disputa que pueda
existir entre las partes sobre la validez, interpretación, ejecución y/o resolución del
contrato, serán exclusivamente competentes los Juzgados y Tribunales correspondientes al domicilio social de KIDE,
que aplicarán la ley española.
7. Jurisdiction. The relevant courts covering the area of jurisdiction of the registered office of KIDE shall apply Spanish
law for the purpose of settling any matter
or dispute which may arise among the
parties regarding the interpretation, validity, execution and/or discharge of the
contract.
7. Litiges. Les parties conviennent
de soumettre tous les litiges qui viendraient á naitre á propos de la validité,
