-1- Expression of Interest Name of Project: Construction of 300-bedded Multispecialty hospital at Rajabari Chah Bagicha, District Sivasagar, Assam under ONGC CSR initiative. A. Introduction Oil and Natural Gas Corporation Limited (ONGC), a Maharatna PSU engaged in the exploration and production of crude oil, natural gas and manufacture of related value added products, intends to setup a Multispecialty state-of-the-art Hospital at Sivasagar (Assam) as a part of its Corporate Social Responsibility (CSR) initiatives. This is a unique opportunity for the leading Indian medical institutions/ healthcare providers to partner in this social endeavour of ONGC and to spread their presence in the North-Eastern part of India. The proposed 300 bedded multispecialty hospital is planned to be set up, as part of ONGC’s CSR initiative under the focus area of providing quality health care to public at large. The development shall be in phases for setting up of the hospital with all related infrastructure. The location of the proposed hospital is on a 50 Acre plot (ownership of ONGC) in Sivasagar district in Upper Assam. It is located 2 Km off the 525th Km (milestone) on NH-37 and is 12 Km from Sivasagar district headquarters in the state of Assam, about 360 Km north-east of Guwahati on National Highway - 37. Sivasagar town is well connected with the rest of the country through Road, Rail & Air. Simaluguri - the nearest railway station which is on Lumding - Dibrugarh Section of North Eastern Frontier Railway, is 15 Km away whereas Jorhat & Dibrugarh airports are 75 & 100 Km away, respectively. B. Objective This Multispecialty Hospital at Sivasagar, Assam is proposed to provide the Primary, Secondary as well as Tertiary Healthcare with linkage amongst the three as per the guidelines laid down by Indian Public Health Standards (IPHS) and shall have NABH accreditation. Broad specialties like Cardiology, Neurology, Nephrology, ENT, Oncology (medical, surgical and radiation), Orthopedics and allied departments shall be part of the facilities, including a Blood Bank. In addition, facility for Ayurveda, Unani, Siddha and Homeopathy (AYUSH), MCH (Mother & Child Health) Wing, and provision for early detection & prompt treatment of Japanese Encephalitis cases are also envisaged. The project CAPEX would be financed by ONGC in terms of land, buildings, equipment, hospital furniture & fixtures, utilities & miscellaneous expenses till commissioning of the hospital. C. Scope of Work The hospital shall be built on “Construct, Operate and Manage (COM)” philosophy, with single point responsibility. The selected Party shall broadly undertake the following activities: a) Build or get built the Multispecialty Hospital comprising services related to the disciplines of Architecture, Civil, Structural, Plumbing and Sanitation Engineering, Mechanical, Electrical, HVAC Engineering, Fire Protection, Site Utilities, IT and Telecommunication, Piped Medical Gases, Bio-Medical Waste Management, Rain water harvesting, Interior Designing, Signage, landscaping and all other facilities required for such a hospital. b) To prepare the detailed estimates, preparing schedules for activities, technical specifications, detailed building & development plan, tender documents for -2- c) d) e) f) g) h) selection of civil & other allied services contractor(s), equipment supply, hospital furniture & fixtures, etc. Procurement of all diagnostic equipment, laboratory setup and all other utility systems necessary for a multispecialty hospital. Liaising with competent authorities (Govt./Semi Govt. Bodies/Corporations etc.) to obtain all requisite statutory clearances/approvals/permissions/NOCs from commencement of the construction till occupation of the building and during operation of the hospital. Selection, deployment and management of the specialized & general medical, paramedical, technical, secretarial and other Human Resources of the hospital. Manage and operate the hospital, meeting the highest standards of medical care. Operate and maintain the hospital initially for a period of 10 years after its commissioning by deploying suitable manpower and bearing full Operation & Maintenance costs (including but not limited to the cost of all consumables, utility bills & salary for staff & doctors, statutory levies etc). There shall be no contribution from ONGC towards Operating Expenditure (OPEX) whatsoever. Within the above criteria, the Party may evolve its business model. However, it is expected that latest by the fifth year of its operation, the hospital should be financially self-sustainable. Subsequently, the Hospital Management Committee (comprising of members nominated by ONGC and the COM Partner) may propose expansion of the present facilities for consideration of ONGC. D. Operating Philosophy a) Multispecialty Hospital facilities and services shall be for the benefit of the public at large. b) Achieve universal access to equitable, affordable and quality healthcare to one and all. It is envisaged to follow a revenue model of 30:20:50 (i.e. 30% of total beneficiaries shall be people Below Poverty Line (BPL) or economically backward people and would be treated at Assam State Civil Hospital rates, 20% of the beneficiaries shall be from Government & PSU and would be treated at par with the CGHS rates, and 50% shall be open to all and shall be treated at market rates). While the quality of treatment remains the same, there shall be a price differentiation in the Consultation fees, Investigation fees, Diagnostic Laboratory fees, Operation fees, Room charges, Pharmacy charges, etc. for the three different categories of the patients. c) Further price differentiation shall be allowed in the type of wards i.e. General, Semiprivate and Private, maintaining the same quality of treatment. d) Set aside a percentage of profits for technology up-gradation of equipment, complete replacement of obsolete equipment, expansion of hospital in terms of departments & facilities, etc. The percentage to be set aside shall be different for profits earned from Pharmacy and that for profits earned from “Other than Pharmacy”. The respective percentage of profits to be set aside shall be decided by a Hospital Management Committee comprising of members nominated by ONGC and the COM Partner. E. Qualifying criteria To meet the above objectives, ONGC is seeking an Expression of Interest (EoI) from reputed health care providers (Premier medical institutes/ Companies/ NGO’s/ Registered Societies/ Registered Trusts/Consortium etc.) for partnering with ONGC for the responsibilities under “Scope of Work” above. The interested health care providers should meet the following experience and financial criteria. -3- a) Technical Experience i. ii. Continuously operating and managing at least one multispecialty hospital of minimum 200 beds for last 3 (three) years ending 31.12.2014. AND The Party must have experience of having successfully constructed/ got constructed and commissioned during last 7 (seven) years ending 31.12.2014: (a) (b) (c) (d) One fully equipped multispecialty hospital of minimum 200 beds, having Primary, Secondary & Tertiary healthcare facilities. OR Three similar completed projects each costing not less than the amount equal to Rs. 80.00 Crores (including the cost of civil works, allied services, furniture, fixtures, equipment, etc. complete for running a fully equipped multispecialty hospital). OR Two similar completed projects each costing not less than the amount equal to Rs. 100.00 Crores (including the cost of civil works, allied services, furniture, fixtures, equipment, etc. complete for running a fully equipped multispecialty hospital). OR One similar completed project costing not less than the amount equal to Rs. 160.00 Crores (including the cost of civil works, allied services, furniture, fixtures, equipment, etc. complete for running a fully equipped multispecialty hospital). Note: 1. Experience as a consortium member will be considered in proportion to the equity holding in the completed project at the time of execution/construction of the Project. 2. The Party should provide documentary evidence from Central Govt./ State Govt./ Local Municipal Body/ Statutory Body that they have the approval to operate a 200 or more bedded multispecialty hospital. b) Financial Capability i. ii. iii. iv. Minimum average annual turnover of Rs. 60.00 Crore in the last three financial years. Should have positive Net Worth consecutively in the last three years. Minimum average operating profits of Rs. 20.00 Crore in the last three financial years. Single entity Party and all members of the consortium, if applicable, should be profit-making concerns for the last three financial years. Note: In case the Party is a Consortium, turnover, net worth and operating profits would be taken as an arithmetic sum of net worth, turnover and operating profits of each member of the Consortium, calculated in the ratio of their equity in the consortium. The Consortium would be required to meet the threshold criteria on the basis of aggregate figures subject to provisions of this Clause. The Party should provide information regarding the above based on audited annual accounts. F. Eligible Parties -4- a) The Party may be a single healthcare provider (Premier medical institute/ Company/ NGO/ Registered Society/ Registered Trust etc.) or a group of maximum 4 companies (hereinafter referred to as Consortium), coming together to implement the Project with joint and severe responsibility. The term Party used hereinafter would therefore apply to both a single entity and/or a Consortium. b) Applications submitted by a Consortium should comply with the following additional requirements: i. Number of members in a consortium would be limited to maximum of four. ii. The application should contain the information required for each member of the Consortium. iii. An individual applicant Party cannot at the same time be member of a Consortium applying for this Project. Further, a member of a particular Consortium cannot be member of any other Consortium applying for this Project; an undertaking towards this end needs to be submitted by all the members of consortium. iv. Members of the Consortium shall nominate one member as the Lead Member. The nomination shall be supported by a Power of Attorney. v. Members of the Consortium shall enter into a Memorandum of Understanding (MOU). The MOU shall, inter alia: a. Convey the intent to form a Special Purpose Vehicle with shareholding commitment(s) as stipulated in this document, which would enter into the Agreement and subsequently carry out all the responsibilities as in terms of the Agreement, in case the Project is awarded to the consortium. b. Clearly outline the proposed roles and responsibilities of each member in case of Consortium at each stage. c. Commit the minimum equity stake as stipulated. d. Include a statement to the effect that all members of the Consortium shall be liable jointly and severally for the execution of the Project in accordance with the terms of the Agreement. vi. In case of consortium, the Lead Member shall hold at least 51% share in the shareholding. vii. The other members of the consortium shall hold a minimum of 11% share each in the shareholding. viii. After short listing, change in the composition of the Consortium (except lead member) will be subject to approval of ONGC but application to change the consortium should reach ONGC at least 10 days before the last date for submission of financial bid at a later date. c) Each Party shall submit only one application in response to this EoI. Any Party, which submits or participates in more than one application, will be disqualified and will also cause the disqualification of the Consortiums / Party of which it is a member as the case may be. G. Submission of documents Interested Parties are invited to submit an Expression of Interest in the form of a proposal along with following supporting documents: a) Confirmation of the Party’s interest to be considered for short-listing. b) List of completed projects in last 7 years with broad scope of work along with the details of clients, year of completion, etc. c) Annual Turnover, Operating Profit and Net Worth in last three years (i.e. FYs 2011-12, 2012-13 and 2013-14) in a tabulated manner certified by the Party’s Chartered -5- Accountant along with the audited Balance Sheet and Profit and Loss Account of the Party (of each member in case of a consortium) for the last three years. d) General information of the Party, type of establishment, including its main business, geographical spread, accreditation of hospitals, years of operation in multispecialty hospitals, number of similar hospitals (multispecialty minimum 200 beds) completed and under operation, total number of beds under operation & management, number of similar hospitals (multispecialty minimum 200 beds) in non-metro locations. e) A duly certified statement of “Bed occupancy” during last 3 (three) years ending 31.12.2014. All of the above are to be supported with suitable documents. H. Evaluation Process The process of selecting the COM partner shall be in two stages. The first stage shall constitute shortlisting/ empanelment of probable COM partners. The second stage shall comprise of technical qualification and opening of financial offers of technically qualified parties. The party whose financial outlay of CAPEX is the lowest shall be selected as the COM partner for implementing this project. a) The EoI received on or before the cut-off time and date shall be evaluated as per the details submitted. b) ONGC shall shortlist/ empanel the Parties for the purpose of participation in further process. Merely, satisfying minimum criteria (as mentioned in para ‘E’ above) would not qualify for shortlisting. The shortlisted/ empanelled parties shall be informed accordingly. c) The shortlisted parties as decided by ONGC may visit the project site within 7 days after being informed about their shortlisting, at their own cost. However, ONGC shall facilitate local transportation and accommodation in ONGC Guest House (if available) on payment basis. d) ONGC shall hold a pre-bid meeting (after 10 days of informing the shortlisted/ empanelled parties) with the shortlisted parties to address the concerns of the shortlisted parties regarding the business model, facilities, specifications, execution methodology, management, sustainability aspects, etc. The meeting shall be held at Delhi. Venue and date shall be intimated at least 7 days in advance. e) Subsequent to the pre-bid meeting the project details in terms of proposed facilities, operating & revenue models, project execution methodology, monitoring aspects, etc. shall be finalized. Based on these finalized project details, the short listed Parties shall be issued a RFQ to submit their offer for the project, in the prescribed format. f) The offer submitted by the short listed Parties shall be evaluated and decided by ONGC. Decision of ONGC shall be communicated to the successful Party. g) A formal contract outlining the roles & responsibilities of each partner shall be signed with the Party who has been awarded the job, incorporating the accepted tender conditions, payment terms, indemnity clause etc. I.
