1. RECEPCIÓN DE PEDIDOS:
La sociedad Ribas se reserva el derecho de validar y controlar todos los pedidos efectuados
directamente a la sociedad de Ribas o mediante representantes.
Nos reservamos el derecho de no aceptar un pedido si no corresponde a los criterios específicos marcados por Ribas.
Las fechas de entrega de los pedidos son estimativas, en ningún caso la sociedad Ribas puede ser responsable de no respetar las fechas de entrega excepto si hay un contrato firmado
por las dos partes.
Creación de clientes: el pago se efectuará antes de que el material salga de Ribas.
2. PRODUCTOS:
Nos reservamos el derecho a modificar nuestros productos sin tener que repercutir estos
cambios a los pedidos en curso o ya servidos.
Si en estos cambios se modifica el precio del producto se repercutirá en la factura previo
aviso del cliente.
3. ENVIOS
Los envíos serán efectuados des de nuestra empresa a portes pagados o debidos según
criterios de la empresa.
Los portes de envío serán imputados en la factura.
4. RECEPCIÓN
Ribas no es responsable de los daños o pérdidas del producto durante el transporte.
Los clientes de Ribas deben poner en conocimiento a la empresa Ribas o a sus representantes dentro de las 72 horas siguientes a la recepción.
La sociedad Ribas no será responsable del cumplimiento de un contrato firmado si se produce una circunstancia de fuerza mayor, como huelgas totales, parciales, catástrofes causadas
por inundaciones, incendios…
Ribas no tendrá ninguna responsabilidad por perjuicios indirectos como pérdida de ventas
por parte del cliente, pérdida de margen comercial etc…
5. GARANTIAS
Los productos Ribas presentes en el catálogo tienen una garantía de 2 años a partir de la
fecha de entrega del material.
Esta garantía cubre solamente defectos de fabricación. Todas las otras causa exteriores posibles, en particular todo incidente a la no aplicación correcta del producto será excluido de
la garantía.
PROCEDIMIENTO PARA SOLICITAR UNA GARANTÍA:
· Solicitar a Ribas o a sus representantes un acuerdo para la devolución del material.
· Envío de la pieza defectuosa a Ribas a portes pagados.
· Ribas examinará la pieza y si la considera defectuosa, enviará lo más rápidamente posible
una nueva a portes pagados.
· Ribas no se hace cargo de los gastos indirectos , mano de obra etc.. en la substitución de
la pieza.
6. DEVOLUCIONES:
Todo material pedido y facturado no será ni reemplazado ni cambiado excepto por error reconocido por parte de Ribas.
7. RECLAMACIONES:
Ninguna reclamación será aceptada después de finalizar la garantía.
8. PRECIOS:
Los precios son netos, sin tasas fiscales ni transporte ni aduanas.
Ribas se reserva el derecho de cambiar los precios en cualquier momento debido a acontecimientos imprevistos: aumento de materias primas, mayor costes de producción…
El precio facturado será el precio confirmado en el pedido.
9. PROMOCIONES:
Las ofertas promocionales serán efectuadas según el stock disponible a Ribas.
Cada oferta tendrá un precio específico y unas condiciones comerciales particulares.
10. PAGOS:
Las condiciones y fechas de pago serán precisadas por Ribas para cada cliente. Ribas no
aplicará ningún descuento adicional en caso de pago al contado.
11. RESERVA DE PROPIEDAD:
La sociedad Ribas podrá reclamar la propiedad del material vendido y no cobrado.
12 RECLAMACIÓN:
Las condiciones : precios ,descuentos ,modalidades de pago, etc… que se especifiquen en la
factura, se entenderán como aceptados si ante el vencimiento del pago Ribas Agromecánica
S.L.U. no ha recibido aviso alguno por parte del cliente.
Cualquier importe o factura devuelta deberá ser liquidado acumulando todos los gastos originados por la devolución del mismo mediante transferencia bancaria.
Estos gastos comprenden los intereses de demora legales.
La existencia de una factura devuelta supone el inmediato bloqueo de la cuenta, hasta tanto
no se regularice el pago.
Ante cualquier controversia, se someterá al fuero y jurisdicción de los juzgados y tribunales
de Girona.

1. RÉCEPTION DES COMMANDES
La Société Ribas se réserve le droit de valider et contrôler toute commande qui lui serait transmise directement ou par l’intermédiaire de ses représentants.
Nous nous réservons le droit de refuser une commande si cette dernière ne correspond pas
aux critères spécifiés par la Société Ribas. Les délais de livraison sont estimés, et en aucun
cas la Société Ribas ne peut être tenue responsable d’un non respect du délai de livraison,
sauf si un contrat a été établi et signé entre chacune des parties.
Ouverture de compte : un paiement comptant sera demandé pour la première commande.
2. PRODUITS
Nous nous réservons le droit de modifier nos produits sans avoir à répercuter ces changements sur les commandes en cours ou déjà servies.
Cependant nous tiendrons compte de ces changements pour les commandes en cours et
nous ajusterons le prix sur la facture, en prévenant le client au préalable.
3. LIVRAISON
Les livraisons sont faites à partir de notre usine en port dû ou port payé. Ils seront rajoutés sur
la facture. Les frais d’expédition seront facturés selon la grille transmise et réactualisée selon
l’évolution des prestations des transporteurs.
4. RÉCEPTION
Ribas n’est pas responsable des dommages ou des pertes subies sur le produit pendant
le transport. Le Client Ribas doit exercer son recours auprès du transporteur dans les 72H
suivant la livraison et informer la Société Ribas ou ses représentants.
La société Ribas ne saurait être tenue responsable de l’inexécution du contrat conclu, due à
la survenance d’un évènement de force majeure et notamment en cas de grève totale ou partielle des transporteurs et des catastrophes causées par des inondations ou incendies. Ribas
n’encourra aucune responsabilité pour tous dommages indirects du fait des présentes, perte
d’exploitation, perte de profit, dommages ou faits qui pourraient survenir.
5. GARANTIES
Les produits Ribas présent dans le catalogue public bénéficie d’une garantie de 2 ans à partir
de la date de livraison.
Cette garantie couvre seulement des défauts de fabrication.
Toutes autres causes extérieures possibles, et en particuliers tout incident lié à la non-application des règles d’utilisation préconisées par Ribas est exclue de la garantie.
La procédure de garantie :
Demander un accord de retour à la sociéte Ribas ou à ses représentants.
Retourner la pièce défectueuse à la société Ribas en port payé.
Ribas examinera la pièce et si cette dernière est défectueuse, il enverra le plus rapidement
possible une nouvelle pièce en port payé.
Ribas n’est pas responsable des coûts engagés pour le remplacement des pièces.
6. RETOURS
Tout matériel commandés et facturés ne sera pas repris ou échangé sauf s’il s’agit d’une
erreur reconnue par la Société Ribas.
7. RÉCLAMATIONS
Aucune réclamation ne sera acceptée après la fin de la période de garantie.
8. PRIX
Les prix sont nets sans TVA, taxes douanières inclues. Ribas se réserve le droit de modifier à tout moment les tarifs suite à des imprévus : augmentations des matières premières,
augmentation des coûts de transport… Le prix facturé correspondra au prix présent sur la
commande validée.
9. PROMOTION
Des offres promotionnelles seront formulées en cours d’année en fonction des stocks disponibles. Pour chaque offre, des prix spécifiques et des conditions commerciales seront appliquées.
10. PAIEMENT
Les conditions de paiement et dates de paiement seront précisées par la Société Ribas pour
chaque client. Le paiement se fera par LCR DIRECTE MAGNETIQUE NON ACCEPTEE à
l’échéance accordée par la Société Ribas soit 30 jours fin de mois date de facturation.
Aucun escompte ne sera accordé par la Société Ribas en cas de paiement comptant.
11. RESERVE DE PROPRIETE
La société Ribas pourra se prévaloir de tout accord, général ou particulier, pour revendiquer
la propriété des marchandises vendues qui ne seraient pas payées par l’acheteur défaillant.
12. RÉGLEMENTATION
Les conditions générales de vente spécifiées ci-dessus sont considérées comme acceptées
jusqu’au paiement dû, tant que Ribas n’a pas reçu d’avis contraire du client. Toutes facturations dues ou retournées, devront être remboursées immédiatement par LCR en incluant les
frais engagés. Ces frais comprennent une indemnité de dommages et intérêts et de clause
pénale correspondant à 10% des sommes dues en sus des intérêts de retard légaux (taux égal
à 3 fois le taux légal en vigueur). Le mois étant dû à compter du premier jour.
L’existence d’une facture impayée ou retournées se traduira par le blocage immédiat du
compte, jusqu’à la régularisation du paiement.
En cas de litige, la juridiction compétente est celle du Tribunal de Girone.
1. RECEPTION OF ORDERS:
The firm of Ribas reserves the right to validate and control all orders made directly to
Ribas or through its representatives.
Ribas reserves the right to refuse an order if it does not comply with its criteria.
The delivery dates are “estimates”, and in no way can Ribas be found responsible for
not respecting delivery dates except when a contract has been signed by both parties.
New Clients: payment must be made before the material leaves the Ribas plant.
2. PRODUCTS:
We reserve the right to modify our products without any resulting changes affecting
present or past orders.
If due to these changes the product price charged is modified in any way, the client will
be notified beforehand.
3. DISPATCH:
All orders will be sent from our factory at Ribas’ or the client’s expense following the criteria of the firm. Transport arranged by Ribas will be charged to the client in the bill of sale.
4. RECEIPT OF GOODS:
Ribas is not responsible for any damage or loss during transportation.
Ribas’ clients must inform Ribas or its representatives within 72 hours after receipt of
the order.
The firm of Ribas does not accept responsibility for the fulfilment of a signed contract
when the order is affected by extraordinary events such as total or partial strikes, natural
catastrophes caused by floods, fires etc.
Ribas does not accept responsibility for indirect damages such as loss of sales by the
client, loss of profit etc.
5. GUARANTEE
Ribas products from the catalogue are under a two-year guarantee as from the reception
date.
This guarantee only covers manufacturing defects. Defects due to all other external
causes, in particular the incorrect use of the product, are excluded from the guarantee.
PROCEDURE FOR CLAIMING ON THE GUARANTEE
· Request Ribas or its representative an agreement for the return of the material.
· Return the defective part to Ribas – transport paid by purchaser
· Ribas will examine the part and if considered defective, will send a replacement as soon
as possible with transports costs paid.
· Ribas does not accept responsibility for indirect expenses, labour costs etc. regarding
the replacement of parts.
6. RETURNS:
All material ordered and billed will not be replaced or exchanged except in the case of
an error admitted by Ribas.
7. CLAIMS:
No claim will be accepted after the finalization of the guarantee.
8. PRICES:
All prices are “net” i.e. without taxes, transport or customs expenses.
Ribas reserves the right to change prices at any time after unforeseen events: increase
in cost of raw materials, increased manufacturing costs etc.
The price charged will be the price confirmed on the order.
9. OFFERS:
Any offers are dependant on the stock available.
Each offer has a specific price and specific commercial conditions.
10. PAYMENT:
The dates and conditions for payment are decided by Ribas and adapted individually to
each client. Ribas will not apply additional discounts for cash payments.
11. OWNERSHIP RIGHTS:
The firm of Ribas claims the right of ownership of material sold but not paid for.
12. CLAIMS:
The conditions: prices, discounts, payment terms etc. specified on the bill, are understood to be accepted if Ribas Agromecánica S.L.U has not received notification to the
contrary from the client before the final payment date.
Any payment or bill returned by financial institutions must be paid in full, including all
expenses incurred by bank transfer.
These expenses will include the legal interest chargeable for delay in payment.
The existence of a returned payment will mean immediate blockage of the account until
payment has been received.
Any arbitrage will fall under the jurisdiction of the Courts of Girona.
