2. Roll Call of the Board. The Board has 15 seats. Fifteen are filled. The quorum for the Board is 9.

The following two items are from the agenda of the October 2 meeting. They could not be considered because
one Board member left the meeting and the quorum was lost. These two old items will be considered as soon
as this meeting gains a quorum.
The following two items change the bylaws of this organization. If they are approved by the Board of
Directors they must also be approved by the Department of Neighborhood Empowerment of the City of Los
Angeles before they will take effect.

3. Add four (4) Alternates to the Board, numbered 1 through 4, who may sit and vote in place of
absent Board members. This does not change the composition of the Board. There will never be
more than 15 voting members. Alternates simply sit in the place of a member who is absent. The
Alternates will count in determining a quorum. When there is an election the Alternates will be the
four candidates who received the most votes but who did not win a seat on the Board. Between
elections Alternates will be appointed. Other Neighborhood Councils have Alternates. (6m)

4. Remove the requirement that the Vice President also be the Co-Chair of the Budget and
Finance Committee and be the Second Signer on financial documents. The Board can still
appoint the Vice President as the Budget and Finance Committee Chair and as the Second Signer.
Eliminating this requirement gives the Board more freedom of choice in the future. (5m)

5. Consideration and possible action to appoint a new Second Signer in order to protect the Vice
President against any accusations that she appears to have a conflict of interest. The current
Vice President is the sister of the Treasurer. The Department of Neighborhood Empowerment
recommends that the Treasurer and the Second Signer not be relatives or spouses. (7m)

6. Consideration and possible action to authorize the interim Secretary and the Executive
Committee to take steps to recover or recreate a website for the North Hills East
Neighborhood Council and to spend up to $500 in operations funds for this purpose. The
northhillseastnc.org domain name and website were lost when the council had no access to funds
with which to pay the renewal fees. A functioning website is an essential tool for outreach to the
public and for transparent operations. (7m)

11. Consideration and possible action to approve the Treasurer's financial reports as the official

12. Consideration and possible action on the request of Board member Venancio Lopez that the
council order business cards and name tags for all Board members. If the Board wants to do
this, the Board should allocate up to $1,140 in operations funds for these purchases. No cost
estimate was supplied. The interim Secretary suggests allowing $25 per name tag and $35 per set of
business cards, for a total cost of $60 per Board member. With 15 Board members and 4 Alternates,
the total cost would be $1,140 for 19 sets. It is likely that the actual cost will be less. (8m)

13. Consideration and possible action on the recommendation of the interim Secretary that
business cards and name tags only be provided to Directors and Alternates who have passed
the required ethics and funding training and signed the Code of Conduct form. This Board
policy will assure that official documents are only given to participants who have met the city
requirements for active membership on a Neighborhood Council (5m)

14. Consideration and possible action on the recommendation of the Outreach Committee that the
Board allocate up to $1,000 in outreach funds for the purchase of advertising specialties
imprinted with the council's name and logo. These advertising items will be given to the public at
outreach events in order to promote awareness of the Neighborhood Council. The types of
advertising items will be selected by the Outreach committee. (7m)

15. Report of the Beautification committee on the status of the Sepulveda Median project that was
funded by the prior Board. The committee examined the planted median of Sepulveda Boulevard
between Rayen Street and Nordhoff Street. The drip irrigation system that was installed was not
operating properly. Many of the plants that were installed had died. The contractor said he would
repair the irrigation system and provide new plants. The contractor also said that he would refund the
money that was paid to him for a sign in the median because construction of the sign never began.
New city rules require the council to finance maintenance of the median forever if a sign is installed.
This makes the sign project impractical. (10m)

RECONSIDERATION PROCESS - Reconsideration of a vote by the Board may be called as a motion by a Board member that voted on the

GRIEVANCE PROCESS - If you believe that the Board is not following its own rules or any of the other rules by which it must operate, you may
file a Grievance in writing with the Secretary. The Grievance will be placed on the agenda for the next Board meeting. If the Board cannot easily
resolve the Grievance with you, it shall refer it to a Grievance Panel, as described in the Council's Bylaws. The report of the Grievance Panel will
be considered at the following Board meeting. Board members may not file a Grievance.
PUBLIC ACCESS OF RECORDS - In compliance with Government Code Section 54957.5, non-exempt writings that are distributed to a majority
or all of the Board in advance of a meeting may be viewed at the scheduled meeting. In addition, if you would like a copy of any record related to an
