INMUEBLES SUSCEPTIBLES DE INCLUIRSE EN
LA VENTA DE LA UNIDAD PRODUCTIVA
A) Las fincas 4226 (gravada con hipotecas) y 26775/v (libre de cargas), junto
con los activos descritos en el punto 1.
B)
Adjudicación del 50% de la finca 4226, junto con los activos del punto 1.
C)
Cesión onerosa de uso y disfrute durante tres años del 50% de la finca
4226 (condiciones detalladas en el plan de liquidación), junto con los activos del
punto 1.
D) Adjudicación de la finca número 30645 en ALMAZORA (Castellón), junto
con los activos del punto 1.
PRECIO Y CONDICIONES DE LA OFERTA
3.1. Pacto de reserva de dominio.- En garantía de que la adjudicación de la
unidad productiva responde a la firme voluntad de la continuidad de la actividad
y no a otros fines, se constituirá sobre la maquinaria y derechos de Patentes
y Marcas un pacto de reserva de dominio por un plazo de tres años, salvo
ofrecimiento de mejor garantía.
3.2. Continuidad de la actividad económica.- Debe de existir un compromiso
por los interesados de mantener la actividad económica de la sociedad durante
el plazo de tres años a contar desde la adjudicación, bien en nombre propio o a
través de terceros.
3.3. Contratación de un mínimo de 20 nuevos trabajadores (negociable según
condiciones).
Constituye requisito para proceder a la adjudicación, la contratación de nuevos
trabajadores con contrato indefinido, cuya contratación si bien es libre y no
sometida a más limitaciones ni restricciones que las prevenidas en la legislación
laboral, deberá valorarse la experiencia en DUSEN.
3.4. Precio de adquisición de la unidad productiva.- Se establece un precio
de salida basado en un ajustado valor del actual mercado de los bienes con
contenido patrimonial, ponderando los costes, garantías y responsabilidades de
la adjudicación.
Alternativa A: 3.240.000,00€ Alternativa B: 1.820.000,00€
Alternativa C: 699.403,00€ más el importe de alquiler a razón de 0,80€m2/mes
Alternativa D: 952.582,00€
Siendo el objetivo principal de proceso la venta como unidad productiva, durante
el plazo de comercialización se informará a la Administración Concursal de las
empresas contactadas por parte de SURUS inversa como empresa especializada.

DUSEN SA con CIF B60211687 en calidad de Administrador Concursal por virtud
de auto del Juzgado Mercantil nº 1 de Castellón bajo el número de autos 267/2011
(en adelante CLIENTE)
EXPONE
Que DUSEN, S.A se encuentra en fase de liquidación y D. Jordi Casserras Gasol,
como Administrador Concursal de la misma, sustituye a ésta en las facultades de
disposición patrimonial disponiendo de la autorización expresa y por escrito para
actuar en representación de la propiedad en tal ámbito.
Los servicios que ofrecerá, son entre otros, ofrecer una solución integrada a la
venta de la unidad productiva cedida, incluyendo cualquier actividad y operación
asociada al proceso de venta de los mismos.
SURUS INVERSA a través de la plataforma WWW.ESCRAPALIA.COM será el vendedor exclusivo de dicha unidad productiva por el periodo que se estipule en el
mismo.

PRICE AND CONDITIONS OF THE OFFER
3.1. Title reservation agreement.- To grant that the purchase of the production
unit is performed with the willing to continue the activity and not with other
purposes, that machinery, patents and brands will have a title reservation for a 3
years term, unless a better guarantee is given.
3.2. Continuity of the economic activity.- There must be a commitment by the
buyer to continue the economic activity for at least three years since the award,
under the buyers own name or under a third party name.
3.3. Hire a minimum of 20 new workers (negotiable depending on the
conditions). It is binding requirement to hire new indefinite workers. The choice
of workers is free (in compliance with Spanish Law) but it is recommended to
take into account DUSEN’s experience.
3.4. Purchase Price of the production unit.- A starting price is set according to
current market prices, taking into account costs, warranties and responsibilities
of the purchase.

Option C: 699.403,00 plus rental amount (0,80 m2/month)
Option D: 952.582,00
During the term of commercialization, being the main objective of the process
the sale as a production unit, the Insolvency Administrator will be informed of the
contacted companies by SURUS Inversa as specialized company.

as legally appointed Insolvency Administrator of the company by the Juzgado
Mercantil nº 1 de Castellón (Commercial Court number 1 of Castellón) under registration number 267/2011, hereinafter the CLIENT.
WHEREAS
DUSEN, S.A is in insolvency process and Mr. Jordi Casserras Gasol, as legally
appointed Insolvency Administrator, substitutes in its faculties of goods disposition having written authorization to act on behalf of the ownership of the company for that purposes.
The services that he may offer, are among others, to offer a solution for the sale
of the production unit, including any activity and operations related to the process of sale of the goods.
SURUS INVERSA through WWW.ESCRAPALIA.COM will be the only seller of this
production unit during the stated period.
