TERMS AND CONDITIONS OF THE CONTEST
“#SAMBA IN THE RAIN”
Participation in the Havaianas: #SAMBAINTHERAIN contest on Instagram (the “Contest”) is deemed to
the acceptance of these Terms and Conditions.
1. Promoter: the Promoter is Alpargatas Europe S.L.U., with corporate address at Avenida del Arroyo
del Santo, 4bis, 28042, Madrid and with company number B-85358596 (“HAVAIANAS” or the
“Promoter”).
2. Duration and access: The promotion commences on October 17th 2014, at 10:00 AM CET and ends
on November 17th 2014, at 11:59 PM CET (“Promotional Period”). Participations beyond the
Promotional Period will not be eligible to win the prize. Participation is free of charge. Entry is open
to physical persons resident in the Spanish territory over the age of 18; persons resident in other
European Union countries are also eligible. Employees of the Promoter and of any other company
affiliated to the Promoter shall be excluded from the promotion. Each participant must ensure that
his or her participation in the promotion is lawful in accordance with the laws of the country of
which he or she is a citizen and/or resides, and/or happens to be at the time the participation is made.
3. Limitation of liability: The Promoter accepts no responsibility for any incomplete, invalid, altered
or illegible entries or which fail to be properly submitted. Proof of sending does not constitute to
proof of receipt. The Promoter is not liable for damages resulting from errors, technical
malfunctioning, delays or interruptions in the transmission of data or from the use of the app and
participation in the Contests, including any injury or damage to an entrant’s or any other person’s
computer or property related to or resulting from playing or downloading any material in the Contest
unless such damage is wilful by the Promoter or its officers, employees or subcontractors or caused
by gross negligence or causal violation of general obligations.
4. No connection with Instagram: This Contest is not sponsored, promoted or in any way managed by
Instagram. The participants understand that they are providing their information to the Promoter and
not to Instagram. The information provided by the participants shall only be used for the purposes of
this competition. Any legal claims, questions or comments arising from the Contest should be
addressed exclusively to the Promoter and not to Instagram itself.
5. Description of the Contest: The contest will be carried out on Instagram and, more specific, on the
Havaianas Europe profile (@HavaianasEurope). Participants shall post a picture or video on
Instagram with the hashtag #sambaintherain (the “Post”) that expresses how to bring joy and color to
grey and rainy winter (the “Theme”). The participants shall be free to choose the content of the
Posts, provided however that the Post shall have a clear link to the Theme and should necessarily be
original and therefore, of exclusive property of the participant.
In order to be eligible to win the contest, participants shall also take into account the following:

The hashtag (#sambaintherain) is an essential condition to be eligible to participate in the Contests.
•
Participants shall not necessarily be followers of Havaianas Europe (@havaianaseurope) on
Instagram.
•
No Posts will be accepted following the expiry of the Promotional Period.
•
The Promoter reserves the right at any time to exclude from the Contest Posts showing unsuitable
content including but not limited to Posts showing minors, Posts featuring products from competitive
brands, Posts containing offensive content or any Posts showing a behavior contrary to applicable
law or moral rules. The Promoter further reserves the right to exclude from the Contest any
participant if there is any reasonable doubt that the participant is using irregular playing methods.

Participation in the competition implies that the participant has an account on Instagram and respects
the conditions of this social network (http://instagram.com/legal/terms/). The organization also
reserves the right to report and ask for the removal of a Post, if this Post violates personal rights, is
discriminatory or offensive.

Each participant may participate as many times as desired (i.e. each participant may win multiple
times).
Any material whose proprietorship/authorship cannot be verified by the Promoter may be excluded from the
Contests.
Participants who accurately upload and tag their Posts will be eligible to win one of the 5 pairs of rainboots
given away each week (specific models to be given away shall be subject to stock availability) (the “Prize”).
Participants may upload their videos and/or pictures during the Promotional Period and no later than on the
following time limits (“Weekly Time Limits”):
Week 1: no later than October 24 at 12pm
Week 2: no later than October 31 at 12pm
Week 3: no later than November 7 at 12pm
Week 4: no later than November 14 at 12pm
Within 3 days following the elapsing of each of the Weekly Time Limits, the Promoter will select the best
Posts conveying the best summer spirit, best samba spirit and best Havaianas spirit. This date may be
modified if deemed necessary by the Promoter.
6. The Prizes and the winners: The winners of the Contest will be notified by the Promoter through
Instagram being mentioned in an Instagram post. The winners will also be contacted by Havaianas via
private message on Instagram on the same day. The winners will receive the prize within a month from being
contacted by Havaianas. If any of the prizes is not claimed to the Promoter within 3 working days following
the day of notifying the winner or if the winner waives its right to receive the prize, an alternative winner
will be selected by the Promoter pursuant to the above rules.
Prizes shall be granted after confirmation of full compliance with the legal terms and conditions herein.
The acceptance of the Prize by the winner implies giving his/her consent to the Promoter to use his/her name
and image for advertising and/or in promotional materials, free of charge.
The Promoter reserves the right to alter, amend or withdraw the Contest or these terms and conditions (or
part of it) at any time and without notice. The Prizes must be accepted as offered and are non-transferable
and not exchangeable for cash or for any other products and services.
The Promoter reserves the right to publish the results of the Contest in newspapers, radio, television, social
media, or any other media.
7. Intellectual Property rights: By entering the Contest, participants consent to their name and Post being
published by the Promoter and used free of charge in print, online (including social media), audio, image and
video material. The winner grants the Promoter a non-exclusive, irrevocable, royalty-free, worldwide,
perpetual license (with a right to sub-license) to use, republish, edit and/or modify the videos in any/all
media (including in electronic format, hard copy and in Havaianas publications) for such purposes. The
winners hereby waive all their moral rights in the videos. For the sake of clarity, rights granted by the
participants over all the videos in connection with the Contests include, without limitation, the right of
reproduction, of distribution, of public communication, and of transformation, according to the definition of
such rights in the Intellectual Property Act passed by Legislative Royal Decree 1/1996 of 12 April.
Participants hereby hold the Promoter harmless from and against any third party claim arising from the use
the Promoter makes of the audiovisual material, including without limitation, any loss or damages resulting
from any claim for infringement of any intellectual or industrial property rights, unfair competition rights or
infringement of any applicable legislation.
8. Personal information: Pursuant to Law 15/99 on the Protection of Personal Data, HAVAIANAS informs
the participants as follows:

The participant’s data shall be included in an automated data file under the proprietorship of the
Promoter, which shall be the recipient and responsible for the information you have voluntarily
supplied to us.
These data shall be used, pursuant to the provisions of such Law, for the purposes of this contest,
which shall not be carried out without your data.
The participant may exercise the rights of opposition, access, rectification and cancellation granted to

9. Disclaimers: HAVAIANAS reserves the right, in its sole discretion, to disqualify any individual they find
tampering the entry process or the operation of the Contest or in the violation of these rules. Any attempt by
any participant to undermine the Contest will be considered a violation of criminal and civil laws and
Havaianas reserves the right to claim that participant damages or pursue any other remedy allowed by law.
Havaianas reserves the right to amend these rules or withdraw the Contest at any time. Havaianas will not be
responsible for any loss or disappointment caused by the same. In such circumstances, Havaianas will make
every reasonable effort to notify participants of any change or cancellation.
10. Miscellaneous: If any clause or part of these terms and conditions is held invalid or unenforceable, that
clause or part thereof shall be deemed excluded and the rest of the rules will remain applicable.
This promotion is subjected to the Spanish legislation. Any dispute or interpretation regarding these Terms
and Conditions shall be settled by the competent courts of the city of Madrid, Spain.
HAVAIANAS reserves the right to alter or cancel this promotion or update and/or amend these terms and
conditions at any time with or without cause.

BASES LEGALES DEL CONCURSO
“#SAMBA IN THE RAIN”
La participación en el concurso de Havaianas #SAMBAINTHERAIN en Instagram (en adelante, el
“Concurso”) implica la aceptación de las presentes Bases Legales.
1. Promotor. El Promotor es Alpargatas Europe S.L.U., con domicilio social en Avenida del Arroyo
del Santo, 4bis, 28042, Madrid, y CIF B-85358596 (en adelante, “HAVAIANAS” o el
“Promotor”).
2. Duración y acceso. La promoción comenzará el 17 de octubre de 2014 a las 10.00 h CET y
finalizará el 17 de noviembre de 2014 a las 23.59 h CET (“Periodo de promoción”). Los
concursantes que participen fuera del periodo de promoción no podrán optar al premio. La
participación es gratuita y está abierta a personas físicas residentes en territorio español y mayores de
18 años. También podrán participar personas residentes en otros países de la Unión Europea. Quedan
excluidos de participar en la promoción los empleados del Promotor o de cualquiera de sus filiales.
Los concursantes deberán garantizar que su participación en la promoción cumple con los requisitos
legales del país de origen o de residencia, y/o en el que se encuentren en el momento de participar.
3. Limitación de la responsabilidad. El Promotor no se hará responsable de las inscripciones
incompletas, inválidas, modificadas o ilegibles, o de aquellas que no se envíen correctamente. Un
justificante de envío no constituirá una prueba de recepción. El Promotor no se responsabilizará de
los daños ocasionados por errores, fallos técnicos, retrasos o interrupciones en la transmisión de
datos o por el uso de la aplicación y la participación en el Concurso, incluyendo cualquier lesión o
daño producido al ordenador o propiedad del participante o de cualquier otra persona, que se
relacione o resulte de la participación en el Concurso o de la descarga de cualquier material durante
el mismo, a menos que dichos daños se deriven de la intencionalidad del Promotor o de sus
administradores, empleados o subcontratistas o se deban a graves negligencias o al incumplimiento
de las obligaciones generales.
4. Independencia de Instagram. El presente Concurso no está patrocinado, promocionado ni en
ningún modo gestionado por Instagram. Los participantes entienden que suministran información al
Promotor y no a Instagram. La información proporcionada por los participantes solo se utilizará para
los fines del concurso. Cualquier reclamación, pregunta o comentario sobre el Concurso deberá ser
presentado exclusivamente al Promotor y no a Instagram.
5. Descripción del Concurso. El concurso se llevará a cabo en Instagram, concretamente, en el perfil
de Havaianas Europe (@HavaianasEurope). Los participantes deberán subir una foto o un vídeo a
Instagram, con la etiqueta #sambaintherain (el “Post”), en donde muestren su manera de ponerle
color y alegría a los días grises y lluviosos del invierno (el “Tema”). Los participantes son libres de
elegir el contenido de sus Posts siempre que éstos estén claramente relacionados con el Tema. Los
Posts tendrán que ser originales y, por tanto, propiedad exclusiva de los participantes.
Para poder optar al premio, los participantes también deberán tener en cuenta lo siguiente:

Para poder participar en el Concurso, será fundamental incluir la etiqueta (#sambaintherain).
•
Los participantes no deben ser necesariamente seguidores de Havaianas Europe (@havaianaseurope)
en Instagram.
•
No se aceptarán los Posts enviados fuera del Periodo de promoción.
•
El Promotor se reserva en cualquier momento el derecho de excluir del Concurso aquellos Posts que
muestren contenidos inapropiados, incluyendo, entre otros, imágenes de menores, productos de
marcas de la competencia, contenidos ofensivos o comportamientos contrarios a las leyes vigentes o
a las normas morales. El Promotor se reserva además el derecho de excluir del Concurso a cualquier
participante si existen sospechas de que esté concursando de forma irregular.
 La participación en el concurso implica que el participante tenga una cuenta en Instagram y que
respete las condiciones de esta red social (http://instagram.com/legal/terms/). La organización
también se reserva el derecho de denunciar y solicitar la supresión de un Post si su contenido vulnera
los derechos de la persona o resulta discriminatorio u ofensivo.
 Cada concursante puede participar tantas veces como desee (esto es, puede ganar varias veces).
Cualquier material cuyo propietario o autor no pueda ser identificado por el Promotor será excluido del
Concurso.
Los participantes que suban y etiqueten sus Posts correctamente podrán concursar para ganar uno de los 5
pares de botas de agua que se regalen cada semana (los modelos concretos que se obsequien estarán sujetos a
las existencias disponibles) (el “Premio”). Los participantes deberán subir sus vídeos y/o fotos dentro del
Periodo de promoción y antes de que finalicen los siguientes plazos (“Plazos semanales”):
Semana 1: 24 de octubre a las 0.00 h
Semana 2: 31 de octubre a las 0.00 h
Semana 3: 7 de noviembre a las 0.00 h
Semana 4: 14 de noviembre a las 0.00 h
En los 3 días siguientes al cierre de cada Plazo semanal, el Promotor seleccionará los Posts que transmitan el
mejor espíritu veraniego, el mejor espíritu de la samba y el mejor espíritu Havaianas. Esta fecha podrá ser
modificada si el Promotor lo considera necesario.
6. Premios y ganadores. El Promotor anunciará el nombre de los ganadores del Concurso a través de un
Post en Instagram. Los ganadores también serán contactados por Havaianas a través de un mensaje privado
en Instagram, el mismo día. Los ganadores recibirán el premio en el plazo de un mes desde el contacto de
Havaianas. Si alguno de los premios no es reclamado al Promotor en el plazo de 3 días hábiles tras el día del
anuncio del ganador, o si el ganador renuncia a su derecho de recibir el premio, el Promotor seleccionará a
un ganador alternativo de acuerdo con las normas mencionadas anteriormente.
Los premios se otorgarán una vez que se haya confirmado la plena conformidad con las presentes bases.
La aceptación del Premio por el ganador supone dar su consentimiento al Promotor para utilizar su nombre e
imagen con fines publicitarios y/o en materiales promocionales de forma gratuita.
El Promotor se reserva el derecho de alterar, modificar o anular el Concurso o las presentes bases (o parte de
las mismas) en cualquier momento y sin previo aviso. Los Premios deberán ser aceptados tal y como se
entreguen, siendo no transferibles y no pudiéndose canjear por dinero en efectivo o por otros productos y
servicios.
El Promotor se reserva el derecho de publicar los resultados del Concurso en periódicos, radio, televisión,
redes sociales o cualquier otro medio de comunicación.
7. Derechos de propiedad intelectual. Al inscribirse en el Concurso, los participantes dan su
consentimiento para que el Promotor publique su nombre y sus Posts y los utilice de forma gratuita en
materiales impresos, electrónicos (incluyendo redes sociales), audio, imágenes y vídeos. El ganador cede al
Promotor una licencia no exclusiva, irrevocable, exenta de derechos, aplicable a nivel mundial y perpetua
(con derechos de sublicencia) para utilizar, reeditar, retocar y/o modificar los vídeos en cualquier/todos los
medios (incluyendo formatos electrónicos, copias impresas y publicaciones de Havaianas) para tales fines.
Por la presente, los ganadores renuncian a todos sus derechos morales en los vídeos. Para mayor claridad, los
derechos otorgados por los participantes en los vídeos vinculados al Concurso incluyen, a título enunciativo
y no limitativo, el derecho de reproducción, distribución, comunicación pública y transformación, de acuerdo
con la definición de dichos derechos recogida en la Ley de Propiedad Intelectual española aprobada por el
Real Decreto Legislativo 1/1996, de 12 de abril.
Los participantes eximen de toda responsabilidad al Promotor de y contra cualquier demanda de terceros
derivada del uso que el Promotor haga del material audiovisual, incluyendo, a título enunciativo y no
limitativo, cualquier pérdida o daño derivado de cualquier reclamación por vulneración de los derechos de
propiedad intelectual o industrial, competencia desleal o incumplimiento de cualquier legislación vigente.
8. Información personal. De acuerdo con la Ley 15/99 sobre la Protección de Datos de Carácter Personal,
HAVAIANAS informa a los participantes de lo siguiente:

Los datos de los participantes se incluirán en un fichero de datos automatizado, propiedad del
Promotor, quien será destinatario y responsable de la información que usted haya proporcionado de
forma voluntaria.
De acuerdo con lo dispuesto en la citada ley, estos datos serán utilizados para los fines del concurso, el
cual no podrá llevarse a cabo sin sus datos.
Los participantes podrán ejercitar su derecho de oposición, acceso, rectificación y cancelación,
garantizados por la ley, solicitándolo por email a [email protected], especificando en el asunto
“SAMBA IN THE RAIN”.
9. Aviso legal. HAVAIANAS se reserva, a su entera discreción, el derecho de descalificar a cualquier
persona que altere el proceso de inscripción o el desarrollo del Concurso o que incumpla las presentes
normas. Cualquier intento por parte de un participante de perturbar el Concurso se considerará una violación
de las leyes penales y civiles. Havaianas se reserva el derecho a reclamar daños o a interponer cualquier otro
recurso legal contra ese participante. Havaianas se reserva el derecho a modificar las presentes normas o de
anular el Concurso en cualquier momento. Havaianas no se hará responsable de las pérdidas o de la
decepción causada por estos hechos. En tales circunstancias, Havaianas hará todo lo que esté a su alcance
para notificar a los participantes cualquier cambio o anulación.
10. Otras consideraciones. Si alguna cláusula o disposición de las presentes bases es declarada inválida o
no ejecutable, se excluirá de las mismas sin afectar por ello a la aplicabilidad del resto de normas.
La presente promoción se rige por la legislación española. Cualquier conflicto derivado de la interpretación
de las presentes bases deberá resolverse ante los juzgados y tribunales competentes de la ciudad de Madrid.
HAVAIANAS se reserva el derecho de cambiar o anular esta promoción o de actualizar y/o modificar las
presentes bases en cualquier momento, con o sin justificación.
