Field Office (MAFO) are recruiting an individual consultant to work on
operationalizing a PPP Program in Morocco financed by the Koafec (Korea Africa
Economic Cooperation Conference).

Terms of References for an Individual PPP Expert - Team Leader

Introduction/Background
The purpose of this document is to set out the Terms of Reference for the supply of
advisory services to the African Development Bank (AfDB). The work to be
undertaken by the advisor (the Consultant) will involve the support of the
Government of Morocco (GoM) in its efforts to successfully establish a PublicPrivate Partnership Policy and institutional framework and to identify and prepare
PPP pilot projects. This program is financed by the Koafec (Korea Africa Economic
Cooperation Conference). This activity will fill under the establishment of a PPP Hub
in North Africa by the AfDB to support its member countries in the development of
successful PPP activities.
In order to establish a structured framework for the development of PPPs in Morocco
and broaden their fields of action, the Ministry of Economy and Finance (MEF) has
created within the DEPP (Direction des Entreprises Publiques et de la Privatisation)
a cell dedicated to PPP. Thus, the PPP cell has to perform four main functions:
Watch Centre: Participation in the formulation of the Moroccan Government
PPP policy, the definition and implementation of a quality assurance process

Centre of Expertise: Technical assistance to ministries and public institutions

Platform of coordination & monitoring
Through the creation of the PPP cell, DEPP aims to develop expertise and
structured framework, based on best practices, which will promote the techniques of
PPP in Morocco, offering assistance and support to government departments and
EEP in the assembly of PPP projects and provide a solid foundation for the
development of the legal framework for PPP in the medium term. DEPP’s PPP cell is
not intended to substitute for Government departments and public sector institutions
which remain at all times responsible for their PPP projects. Similarly, it does not
substitute for external consultants appointed by the initiators of projects, but may
contribute to a better management and greater coordination of their missions. The
implementation of the PPP Unit within the MEF is an important element in relation to
the need for a unified and coherent approach to the complex challenge of launching
a PPP program in Morocco. It is worth noting that almost all countries have launched
programs PPP chose to create such a plant capacity within ministries of finance.
Finally, Law No. 86.12 on PPP was adopted by the Moroccan parliament in March
2014 and is expected to be enacted this year.

Objectives of the Assignment
In this context, the Government of Morocco (GoM) has requested the support of the
AfDB to support its efforts in operationalizing a PPP Program comprising below 3
components:
•PPP policy and institutional framework
•Developing capacity and skills transfer
•Development of a PPP pipeline and preparation of pilot projects
The assistance proposed by the Bank includes the recruitment of a Team leader
who with the support of a PPP Analyst will steer the development of the Program
and to support the PPP action of the AfDB in Morocco. The present ToRs pertain to
the activities of the Team leader.

Administration/reporting and PPP Expert’s Activities:

In close collaboration with AfDB and the DEPP’s PPP Cell the Team leader shall:
•Facilitate high level coordination of the PPP Program between the Ministry of
Economy and Finance (MEF), the relevant line ministries and utilities.
•Ensure end-to-end coherency of Program from institutional/policy work to actual
delivery of projects.
•Facilitate the implementation of the PPP program financed by the Koafec
•Organize training workshops on PPP
•Ensure coherent approach between different donors acting in the Program.
•Support stakeholder consultation and communication efforts undertaken by the
GoM for the purpose of advancing the PPP agenda.
•Support the development of the Program’s pipeline of projects.
•Support GoM in the preparation of PPP projects until selection of a private partner,
signing of project and financial documentation and supervision of construction and
early stage operations.
•Facilitate interface with the Bank in relation with Program development
10. Advise on industry best practices and knowledge.
11. Produce policy briefs to facilitate Knowledge dissemination by the Bank
12. Support the PPP action of the AfDB in Morocco.

Duration of the Assignment
The duration of the contract is 12 to 20 months (to be negotiated with the successful
candidate), starting from February 16th, 2015.

Qualifications and Experience
PE shall have the following qualifications / experience.
•Participated on the private equity or private lending side to the closing of at least 2
PPP transactions
•Minimum twelve (12) to fifteen (15) years of experience in financial institutions, the
banking sector or project finance / non-recourse lending.

•Experience in policy dialogue and staff training on issues such as Private sector
development in Africa and PPP.
•MBA/Finance background is appreciated
•Exposure to both commercial banks and private sector development institution is a
must
•Should have experience in at least 2 of the 4 infrastructure sub-sector (Water, ICT,
Power, Transport)
•Should be fully bilingual French and English.
•Strong negotiation skills and capacity to reach consensus

Remuneration and miscellaneous
The Consultant will be paid a competitive monthly lump sum for the entire period in
accordance with Bank’s scale set for Consultants and commensurate with the
number of years of relevant experience.
All other costs and expenses related to delivering the requirements of the contract
(travel, per diem, incidental or miscellaneous expenses etc.) shall be settled by the
Bank as reimbursable expenses in keeping with the Bank’s procurement and travel
policy. The reimbursements will be settled against submission of valid justifications.
