Securities L.P., Macquarie Capital Markets Canada Ltd., Haywood Securities Inc. and NCP Northland Capital
Partners Inc., offered 20,000,000 Common shares at Canadian Dollar (C$) 1.00 per share; comm., C$0.06 per share.
Up to C$730,000 of the agents' commission was payable in cash, with the remainder payable in Common shares
at a deemed price of C$1.00 per share for a total of no less than 470,000 Common shares. The company also
agreed to grant advisor warrants to purchase that number of Common shares equal to 3% of the aggregate
number of shares sold in the offering. The offering closed on Aug. 3, 2011. The company subsequently issued an
additional 1,910,500 shares to cover over-allotments.
