About the company
Steel Authority of India Limited (SAIL) is India’s largest steel-making company. It is a
fully integrated iron and steel maker, producing both basic and special steels for
domestic construction, engineering, power, railway, automotive and defence
industries and for sale in export markets. SAIL is also among the seven Maharatnas of
the country's Central Public Sector Enterprises. SAIL manufactures and sells a broad
range of steel products, including hot and cold rolled sheets and coils, galvanised
sheets, electrical sheets, structurals, railway products, plates, bars and rods, stainless
steel and other alloy steels. SAIL produces iron and steel at five integrated plants and
three special steel plants, located principally in the eastern and central regions of
India and situated close to domestic sources of raw materials, including the

SAIL's wide range of long and flat steel products are much in demand in the domestic
as well as the international market. This vital responsibility is carried out by SAIL's
own Central Marketing Organisation (CMO) that transacts business through its
network of 37 Branch Sales Offices spread across the four regions, 25
Departmental Warehouses, 42 Consignment Agents and 10 Customer Contact
Offices. CMO’s domestic marketing effort is supplemented by its ever widening
network of rural dealers who meet the demands of the smallest customers in the
remotest corners of the country. With the total number of dealers over 2800 , SAIL's
wide marketing network ensures availability of quality steel in virtually all the districts
of the country.
SAIL's International Trade Division (ITD), in New Delhi- an ISO 9001:2000 accredited
unit of CMO, undertakes exports of Mild Steel products and Pig Iron from SAIL’s five
integrated steel plants. With technical and managerial expertise and know-how in
steel making gained over five decades, SAIL's Consultancy Division (SAILCON) at New
Delhi offers services and consultancy to clients world-wide.
SAIL has a well-equipped Research and Development Centre for Iron and Steel
(RDCIS) at Ranchi which helps to produce quality steel and develop new technologies
for the steel industry. Besides, SAIL has its own in-house Centre for Engineering and
Technology (CET), Management Training Institute (MTI) and Safety Organisation at
Ranchi. Our captive mines are under the control of the Raw Materials Division in
Kolkata. The Environment Management Division and Growth Division of SAIL operate
from their headquarters in Kolkata. Almost all our plants and major units are ISO
Certified.

Procedures for creative agency empanelment
We are looking for empanelling agencies for creative work only.
We will not release any advertisements through your agency if empanelled.
Agencies may be asked to submit quotations for printing
The agencies will primarily meet the creative job requirements of SAIL corporate
office, Delhi and SAIL Central Marketing Organization, Kolkata. Plants and units will
also have the option to invite quotes from these agencies, along with other local
agencies.
Based on the pre-qualification criteria mentioned in the advertisement the agencies
will be shortlisted and invited for making presentation
The invitation letter for making presentation will be sent to only those agencies
that meet the pre-qualification criteria.
During the presentation round, agencies will be rated on the basis of creativity,
infrastructure, experience as per the following format:

8. Only those agencies which are finalized after the presentation will be asked to
submit financial bids for the rate card as per the format prepared by SAIL
9. Price bids of all the finalized agencies will be opened and an item wise L-1 rate card
will be prepared. All the agencies which agree on the item wise L-1 rate card will be
considered for empanelment. If any agency refuses to match item wise L-1 rates,
the agency will not be considered for empanelment. Item wise L-1 quote may be
negotiated upon if deemed fit.
10. Once empanelled, during the contract period the agencies will be asked to submit
designs/ concepts, etc. as per SAIL requirement and work will be given to the
agency whose creative is selected.
11. For exhibitions, all the empanelled agencies will be asked to submit designs/ mockup for the SAIL stall along with quotations in a sealed envelope within the given
budget.
12. Agency should not be working with any major competitor.

AGREEMENT
This will be signed between SAIL and the finalized agency after the presentation once the
agency submits in writing that it accepts item wise L-1 rates. This is a draft copy of the
agreement and may be changed at the time of actual agreement signing
Commencement
1.
This agreement entered between Steel Authority of India Limited (SAIL), a
company registered under Companies Act, 1956 having its registered office at
Ispat Bhavan, Lodi Road, New Delhi (hereinafter called “Company”) on one part
and M/s ______________ registered under Companies Act 1956 having its
registered office at ____________ and head office at _____________
(Hereineafter called “Creative Agency”) on the second part, and
WHEREAS “Company” being desirous of engaging Creative Agency for creative
jobs, etc.
WHEREAS “Creative Agency” had represented that it has the capability to handle
these kinds of jobs efficiently, and accordingly “Company” has agreed to
empanel the Creative Agency on the terms and conditions agreed and set out
hereinafter.
The tenure of this agreement shall be for three year only from date of signing of
this contract and same may be extended for another 2 years if necessary. The
same will be reviewed during the interim period if deemed necessary, in the
interest of the company.
2.
Services to be provided
2.1.
The Creative Agency shall render Creative services for SAIL’s Corporate Office,
Delhi. Central Marketing Organization, Kolkata, Plants & units, etc. may also use
your services, ask for quotes, etc.

2.2.
The Creative Agency shall render the following services for SAIL
2.2.1.
All creative jobs to SAIL as and when it is specifically asked
2.2.2.
Any other services customarily furnished by Creative agencies and work assigned
and agreed from time to time.
3.
Approval of Authority
3.1.
That the Creative Agency shall obtain specific, prior and written approval for all
the job(s) their estimates, the manner, the method of execution such as
artworks, storyboards etc.
3.2.
The Creative Agency shall not do any job without approval of the Company.
3.3.
The Creative Agency is/ shall not render similar services or job(s) for anyone else
in respect of similar competitive producers of products and shall not undertake
any such job till the subsistence and term of this agreement. Creative Agency
undertakes not to do any work for any competitor of SAIL during the period of
contract. However, the Creative Agency may take up advertisement of products,
other than steel of any group/ company engaged in the manufacture of multiple
products which may include steel. However, Creative Agency shall always (during
and beyond tenure of this agreement) be responsible to maintain absolute
secrecy and confidentiality in respect of any job assigned to it under this
agreement or any information which is disclosed to it or comes to its knowledge
while discharging its obligations.
3.4.
The jobs to be assigned to the Agency will depend on the assessment and
selection of their creative designs and ability on case-to-case basis by the
concerned Department (Corporate Affairs Division, Central Marketing
Organization, plants, units, etc.). The decision of the SAIL will be final in this
regard. However, if there is dispute between Corporate Affairs Division and
Central Marketing Organization, or any plant or unit of the Company over any
issue relating to execution of a creative job, the decision of Chief of Corporate
Affairs Division will be final.
3.5.
Company shall be free to apportion the job(s) if required. The Creative Agency
shall have no objection to such apportionment. The decision of the Company in
this regard shall be final.
4.
Charges/ Fees
4.1.
The Creative Agency shall be entitled and be paid for as under for the services
rendered under this agreement.
Development of concept, design, artworks and any other in-house work on the
basis of rate card appended to the Agreement at Annexure-I, duly agreed and
signed by both the parties.
4.2.
All extraordinary and unusual work beyond the scope of work/ services defined
hereinunder this agreement requested by the Company will be charged at a fee
to be mutually agreed in advance.
5.
Payment
5.1.
Bills for all work done in-house by the Creative Agency will be supported by
approved estimate copies.
5.2.
All bills raised by the Creative Agency will be paid by the Company provided that
the same has all supporting documents and there are no disputes/ clarifications
pending against the Debit Note.
5.3.
All payments due to the Creative Agency under this agreement will be made
through electronic transfer.
6.
Other Terms
6.1.
The Creative Agency will not be liable in any manner for any act of omission by
media or for any error in advertisement unless it is a case of default or neglect
on the part of the Creative Agency. In case of disputes or ambiguity the Creative
Agency will act in consultation with the Company and the matter will be settled
jointly.
6.2.
If due to war, strikes, lockouts, fire, blockade, riots, floods, natural calamities,
acts of God, act of Government or other obstacles or unforeseen circumstances
beyond its control (which the parties have agreed to take as Force majeure
conditions), the Creative Agency is unable to complete the given assignment, it
shall notify to the company, such event within seven days of date of knowledge
or occurrence thereof, whereupon the Company and the Creative Agency can
mutually decide to terminate/ modify or close the said assignment without any
obligation on either side.
6.3
That all work created by the Creative Agency for the Company under this
agreement shall be the property of the Company with all the rights including
copy right in respect of such work. Once the contract is over, the Company can
use/release such materials to different media at its own discretion. The Creative
Agency will not have any objection thereto and will not raise any claim for any
payment/ remuneration/ fees/ commission whatsoever in this regard.
6.4
The Creative Agency shall maintain absolute confidentiality about all information
coming to its knowledge during course of this agreement and shall not disclose it
during and beyond the period of the agreement to anyone else but to Company.
6.5
The Creative Agency shall not assign or sub-contract any or all of its obligations
under this agreement except with the prior written approval of Company.
6.6.
In case of any difference about any term of this agreement of meaning or scope
thereof the decision given by “Chief of Corporate Affairs Division” of the
Company shall be final and binding on the Creative Agency.
6.7.
All the art work or such other designs created by Creative Agency under this
agreement shall be original. Creative Agency hereby indemnifies and shall always
keep Company indemnified against any claim or dispute of violation of any
trade/ copy right or such other intellectual property of any third party by any
work created or act done by Creative Agency while acting under this agreement.
Creative Agency alone shall be liable for any such claim or prosecution thereof in
this regard.
7.
Terminations
7.1.
This Agreement shall stand terminated on the expiry of tenure specified
hereinabove. The agreement can be terminated forthwith if advertising agency
commits a breach which cannot be cured.
7.2.
This Agreement may be terminated by either party with immediate effect by a
30 day’s notice in writing to other, in case where breach can be cured, at its
address mentioned above. Till the expiry of such notice period, this agreement
shall continue to have full effect in respect of work already assigned under the
agreement or during the notice period and both parties shall be responsible for
their mutual obligations under the agreement for its completion.
7.3.
On termination, the Creative Agency shall return/ transfer all material created by
it including artwork subject to normal wear and tear or that has come to its
possession during the course of this agreement including products, literature,
information etc. to the company immediately within 10 days. Only after that,
settlement of accounts will be done. The agency shall neither use nor permit
anybody else to use the same for any purpose whatsoever. The Creative Agency
further agrees not to disclose any information received by it in performance of
this agreement to any third party and shall maintain absolute secrecy/
confidentiality thereafter.
7.4.
The Creative Agency will also transfer to the Company all contracts and
reservations of time, space, talent and other advertising adjuncts entered into by
the Creative Agency and all lost contract rates and rebates shall be to the
Company’s account without adjustment of commission previously paid provided
they are covered under Contract Act.
7.5.
The parties shall be free to enter into similar agreement with any third party
after termination of this agreement. However, Company if so decides will have
liberty to engage any other agency for its work during the Notice period itself.
Similarly the Creative Agency shall be at liberty to sign an agreement with
another Company during the notice period. However, it shall not effect any right
of the Creative Agency to carry on with the work already assigned by it and get
paid for it as per this agreement.
8.
Jurisdiction
8.1.
This agreement is subject to the jurisdiction of Delhi Courts only and exclusively.
