Fibra Inn Informa sobre su
Aviso de Suscripción Exclusivo para Tenedores de FINN13
Monterrey, México, 22 de octubre de 2014 - Deutsche Bank México, S.A., Institución de Banca Múltiple,
División Fiduciaria, Fideicomiso F/1616 o Fibra Inn (BMV: FINN13) (“Fibra Inn” o “la Compañía”), el
fideicomiso de infraestructura de bienes raíces hotelero en México especializado en servir al viajero de
negocios, informa sobre su aviso de suscripción exclusiva para tenedores de Fibra Inn.
En cumplimiento de los acuerdos adoptados por la Asamblea General Ordinaria de Tenedores de los
Certificados Bursátiles Fiduciarios Inmobiliarios del Fideicomiso F/1616 de DEUTSCHE BANK MÉXICO, S.A.,
INSTITUCIÓN DE BANCA MÚLTIPLE DIVISIÓN FIDUCIARIA, COMO FIDUCIARIA DEL FIDEICOMISO F/1616
(los “CBFIs” y el “Emisor”, respectivamente) celebrada con fecha 17 de octubre de 2014 (la “Asamblea”) y
las resoluciones de la Sesión del Comité Técnico celebrada el día 20 de octubre de 2014 se informa a los
tenedores de los CBFIs (los “Tenedores”):
a) Que de conformidad con lo resuelto por la Asamblea, se emitirán 258’334,218 (doscientos cincuenta
y ocho millones trescientos treinta y cuatro mil doscientos dieciocho) CBFIs.
b) Que los CBFIs objeto de la emisión serán ofrecidos exclusivamente a los actuales Tenedores para su
suscripción y pago de conformidad con lo siguiente:

El precio de suscripción por cada CBFIs será de $15.85 (quince pesos con ochenta y cinco
centavos Moneda Nacional). El precio de la suscripción fue determinado otorgando un
descuento aproximado del 9.38% (nueve punto treinta y ocho por ciento) sobre el precio
promedio ponderado por volumen de los CBFIs en las sesiones bursátiles comprendidas desde
el día hábil posterior a la fecha de publicación de la Convocatoria de Asamblea de Tenedores,
es decir, a partir del 3 de octubre de 2014 y hasta la fecha de celebración de la sesión del
Comité Técnico el 20 de octubre de 2014. El precio promedio ponderado por volumen de los
CBFIs durante el periodo referido es $17.4905.
Los CBFIs se ofrecen a los Tenedores para su suscripción y pago, dentro de los 15 días
naturales siguientes a la fecha del inicio del periodo de suscripción, mismo que inicia el día 30
de octubre de 2014, hasta por una cantidad igual al número de CBFIs a razón de 1 (un) nuevo
CBFI por cada 1 (un) CBFI de los que sean titulares (la “Primera Ronda”). Aquellos Tenedores
que deseen suscribir CBFIs en la Primera Ronda deberán manifestarlo al S.D. Indeval
Institución para el Depósito de Valores S.A. de C.V., a través de su respectivo intermediario.
De igual manera, deberán enviar una copia de dicha solicitud al Emisor y al Representante
Común.
Una vez agotado el plazo para el ejercicio del derecho de suscripción en la Primera Ronda, los
CBFIs no suscritos podrán ser suscritos en una segunda ronda, exclusivamente por los
Tenedores que hayan ejercido su derecho de suscripción al 100% en la Primera Ronda, para lo
cual contarán con un plazo que iniciará desde el día posterior a la terminación de la Primera
Ronda hasta 3 (tres) días hábiles adicionales contados a partir del día hábil siguiente de la

fecha de pago de la Primera Ronda (la “Segunda Ronda”). Para mayor información sobre
fechas de cada una de las rondas, ver tabla de fechas relevantes. En caso de que el número de
CBFIs solicitados por los Tenedores que participen en la Segunda Ronda sea superior al
número de CBFIs pendientes de suscripción una vez concluida la Primera Ronda, entonces se
asignarán a prorrata general en función de la demanda.
El procedimiento para participar en la Segunda Ronda será notificado en los próximos días por
esta misma vía y conforme al formato que el Emisor pondrá a disposición de los Tenedores.
Se hace del conocimiento de los Tenedores que el ejercicio del derecho de suscripción se realizará a
través del S.D. Indeval Institución para el Depósito de Valores S.A. de C.V., para aquellos Tenedores cuyos
CBFIs se encuentren depositados en dicha institución. Las copias con las manifestaciones de interés
enviadas al Representante Común y al Emisor deberán dirigirse respectivamente a los señores:

Fibra Inn Announces the Exclusive
Subscription Notice to FINN13 Shareholders
Monterrey, Mexico, October 22, 2014 - Deutsche Bank México, S.A., Institución de Banca Múltiple,
División Fiduciaria F/1616 o Fibra Inn (BMV: FINN13) (“Fibra Inn” or “the Company”), a Mexican real
estate investment trust specializing in the hotel industry serving the business traveler, today informs
about its exclusive subscription notice to shareholders.
In compliance with (i) the resolutions adopted by the Shareholders of the Real Estate Trust Certificates
issued by Deutsche Bank México, S.A., Institución de Banca Múltiple, División Fiduciaria (the “Issuer”), as
trustee of the irrevocable trust F/1616 (the “CBFIs”) at the meeting held on October 17th, 2014 (the
“Shareholders’ Meeting”) and (ii) the resolutions adopted by the Technical Committee of the irrevocable
trust F/1616 at the meeting held on October 20th, 2014, hereby, we inform to the Shareholders the
following:
a) According to the resolutions adopted by the Shareholders’ Meeting, 258,334,218 (two hundred
and fifty eight million three hundred and thirty four thousand two hundred eighteen) CBFIs will be
issued.
b) The CBFIs to be issued will be offered exclusively to current Shareholders for its subscription and
payment according to the following:
1. The subscription price for each CBFI will be MX $15.85 (fifteen pesos and eighty five cents).
Such price was determined at a discount of 9.38% (nine point thirty eight percent) of the
volume-weighted average price of the CBFIs of the trading sessions starting the business day
following the announcement of the Shareholders’ Meeting, in other words, starting on
October 3rd, 2014 to the date in which the Technical Committee meeting was held, this is
October 20th, 2014. The volume-weighted average price of the CBFIs of the referred period of
time was MX$17.4905.
2. The CBFIs are offered to the Shareholders for its subscription and payment within 15 natural
days following the date in which the subscription period begins; this is October 30th, 2014 (the
“First Round”). The Shareholders will be able to subscribe up to an equivalent amount of the
number of CBFIs that they own, at a rate of 1 CBFI per CBFI they own. Those Shareholders
willing to subscribe CBFIs on the First Round must submit a request to SD. Indeval Institución
para el Depósito de Valores, S.A. de C.V. through its broker. Additionally, a copy of such
request must be submitted to the Issuer.
3. Once the First Round is over, the CBFIs pending subscription may be subscribed in a second
round exclusively by the Shareholders that exercised 100% of the right of subscription in the
First Round. For that purpose, those Shareholders will have 3 (three) additional business days

information on the dates of each round, please see the table below. If the number of CBFIs
requested by the Shareholders participating in the Second Round is greater than the number
of CBFIs pending subscription once the First Round is over, the CBFIs pending subscription will
be assigned on pro rata basis according to the demand.
The procedure to participate in the Second Round will be notified in the following days
through this media according to the format that the Issuer will make available to the
Shareholders.
