Parmalat closes first Mexican deal since 2004

International food company Parmalat has appointed firms in three jurisdictions for its acquisition of
Mexican dairy company Distribuidora de Lácteos Algil for US$105 million – its first deal in the country since
selling its Mexican operations to Grupo Lala in 2004.
Parmalat hired Mexico’s Creel, García-Cuéllar, Aiza y Enriquez SC as lead counsel and Ferrere (Uruguay) in
Montevideo, Argentina’s Estudio Beccar Varela and Consortium Centro América Abogados - Guatemala.
Distribuidora de Lácteos Algil used Mexico’s Galicia Abogados for the deal, which was signed on 28 January.

Campesina Holandesa. Distribuidora de Lácteos Algil facilities in Latin America include 20 distribution
centres and four production centres: one in Mexico, two in Uruguay and one in Argentina.
The deal signals Parmalat’s return to the Mexican market following the sale of the company’s Mexican
operations in 2004 after the group filed for bankruptcy in December 2003.
French dairy company Lactalis acquired a managing stake in Parmalat through the Italian stock exchange in
2011.
Lactalis has invested over US$1billion in recent Latin American expansion deals. In September, the company
acquired the dairy assets of Brazil’s second largest food company BRF for US$800 million. Lactalis was
advised by Pinheiro Neto Advogados while BRF relied on Machado, Meyer, Sendacz e Opice Advogados.
Lactalis sought counsel from Mattos Filho, Veiga Filho, Marrey Jr e Quiroga Advogados in August in a US$111
million purchase of LBR-Lácteos Brasil’s dairy producing assets, as part of LBR’s restructuring. The sale
included trademarks Poços de Caldas, Da Matta and Boa Nata. LBR used Renato Mange Advogados
Associados and Pedro Dutra Advogados for the deal.
