ORDER FOR BOND ELECTION
The board of directors of Harris County Municipal Utility District No. 1 met at its regular
meeting place on July 14, 2015 with a quorum of directors present, as follows

and the following absent:

The order set out below was introduced for consideration of the board of directors. It was
duly moved and seconded that said order be adopted; and, after due discussion, said motion was
carried by the following vote:
Ayes: All directors shown present.
Noes: None.
The order thus is adopted as follows:
WHEREAS, Harris County Municipal Utility District No.
I
(the "District") has
been legally created; the dirçctors of the District have qualified as required by law, met and
organized; said board
construction
of
directors (the "Board") has adopted plans for the purchase or
of plants and
improvements
to carry out the purpose of .its organization; the
District's engineer has submitted to the Board a complete engineer's report covering the plants,
improvements, facilities, equipment, and appliances to be purchased or constructed and their
estimated costs, together with maps, plats, profiles and data fully showing and explaining same
which report and accompanying items have been approved by the Board, filed in the meeting

place and office of the District, and are open to inspection by the public; and said plants and
improvements are designed to furnish a water and sanitary sewer system for service within the
District and any land which may hereafter be annexed into the District and a drainage system for
the drainage of lands within the District and any land which may hereafter be annexed into the
District;
WHEREAS, the District's engineer and the Board make the following estimated costs:

Water supply, storage and distribution system; wastewater
collection and treatment system; stormwater drainage and
detention system, including contingencies, investigation, plans
and engineering

Administrative expenses of issuing and selling
bonds, including financial advisory and legal fees,
interest on bonds during estimated construction
period, discount on bonds, and operating costs during
construction

WHEREAS, the Board made no change or modification in the work proposed by
or the plans and report of the engineer; no preliminary bonds of the District were autho rized ot
issued; all requirements have been met prerequisite to the ordering of a bond election; and the
Board is of the opinion that the election should be held for the purpose
of submitting
the
proposition set out hereinafter;
V/HEREAS, the Board of directors of the District has determined that it is in the
public interest to conduct the election on a uniform election date; and

WHEREAS, the Board finds that using the regular county polling places for
common polling places in a joint election can adequately and conveniently serve the voters and
will facilitate the orderly conduct of the election.
NOW, THEREFORE, BE IT ORDERED BY THE BOARD OF DIRECTORS
OF HARRIS COTINTY MUNICIPAL UTILITY DISTRICT NO. 1 AS FOLLOWS:
Section
1.
The matters and facts set out in the preamble of this order are hereby
found and declared to be true, correct and complete.
Section
2.
The Board ratifies its prior approval of and adopts in all respects
said engineer's report, including the estimates therein and the data and items submitted and filed
therewith, and reference is hereby made to same for the full contents thereof.
Section
3.
As provided by law for the issuance of bonds payable wholly or in
part by ad valorem taxes, an election shall be held and notice shall be given.
Section
4:
The District shall enter into an Agreement Relating to Joint
Elections to be Held November 3,2015 with Haris County ("Agreement") for the purpose of
having Harris County ("County") provide certain joint election services and equipment needed
by the District in conjunction with the election on November 3,2015. The District hereby adopts
the County voting precincts, and hereby adopts the County early voting and election day polling
places for purposes
of said election. Voting shall be held at the applicable County polling places,
whether or not such polling locations are within or outside the District's boundaries.

5:
The following proposition shall be submitted to the duly qualified
resident electors at said election:

SHALL THE BOARD OF DIRECTORS OF HARRIS
COUNTY
MUNICIPAL UTILITY DISTRICT NO. 1 BE AUTHORIZED TO ISSUE
BONDS OF SAID DISTRICT IN THE MAXIMUM AMOUNT OF THIRTY
sIX MILLION DOLLARS ($36,000,000), MATURING SERIALLY OR
OTHERWTSE OVER A PERTOD NOT TO EXCEED FORTY (40) YEARS
FROM THEIR DATE OR DATES, AND TO BE ISSUED AND SOLD AT
ANY PRICE OR PRICES AND TO BEAR INTEREST AT ANY RATE OR
RATES AS SHALL BE DETERMINED WITHIN THE DISCRETION OF
THE BOARD OF DIRECTORS OF THE DISTRICT AND AS
AUTHORIZED BY THE LAV/S OF THE STATE OF TEXAS AT THE
TIME OF SUCH ISSUANCE, FOR THE BENEFIT OF THE DISTRICT
AND ANY LAND V/HICH MAY BE HEREAFTER ANNEXED INTO THE
DISTRICT, FOR THE PURPOSES OF PURCHASING, CONSTRUCTING,
ACQUIRING, OWNING, OPERATING, MAINTAINING, REPAIRING,
IMPROVING AND EXTENDING A WATER AND SANITARY SEWER
SYSTEM, A SURFACE WATER SYSTEM, AND SEWAGE DISPOSAL
FACILITIES FOR THE DISTRICT AND A DRAINAGE SYSTEM FOR
THE DRAINAGE OF LANDS WITHIN THE DISTRICT, AND FOR
PAYING FEES OR CHARGES TO ANY REGIONAL WATER
AUTHORITY, GROUNDWATER CONSERVATION DISTRICT OR
SIMILAR ENTITY FOR CHARGES OR CONTRIBUTIONS LAWFULLY
LEVIED ON THE DISTRICT, AND FOR THE FURTHER PURPOSE OF
REFTINDING, BY ANY MEANS NOW OR HEREAFTER AUTHORIZED
BY LAV/, ALL OR ANY PORTION OF ANY BONDS OR REFUNDING
BONDS OF THE DISTRICT PAYABLE IN WHOLE OR IN PART FROM
TAXES WHETHER HERETOFORE OR HEREAFTER ISSUED BY THE
DISTRICT, AND V/HETHER AUTHORIZED HEREI.INDER OR AT
PREVIOUS OR SUBSEQUENT ELECTIONS HELD V/ITHIN AND FOR
THE DISTRICT, AND TO PROVIDE FOR THE PAYMENT OF
PRINCIPAL OF AND INTEREST ON SUCH BONDS BY THE LEVY
AND COLLECTION OF A SUFFICIENT AD VALOREM TAX UPON ALL
TAXABLE PROPERTY WITHIN THE DISTRICT,

6.
The election will be conducted in compliance with the provisions of the
Texas Election Code.

7.
Paper and/or electronic ballots shall be used
in the election. Ballots,
voting instructions and the proposition shall be made available in the Spanish, Vietnamese and
Chinese (Mandarin) languages for those requesting same. The ballots for said election shall

conform to the requirements of the Texas Water Code and the Texas Election Code, as amended,
insofar as applicable, and shall have printed thereon, in the English, Spanish, Vietnamese and

Section
8.
The District's attorneys shall be and they are hereby authorized
and directed to assist the secretary of the Board in preparing the offrcial ballot, translation of the
ballot in the Spanish, Vietnamese and Chinese (Mandarin) languages, and providing to Hanis
County such other information and documents as may be required in the Agreement pertaining to
the conduct ofthe election and post-election day procedures.

9.
Early voting and ballots shall conform to the requirements of the
said Texas Water Code and Election Code, as amended, insofar as applicable. Early voting by
personal appearance shall be conducted each day during the hours and at the early voting polling
locations designated by County, as shown on Exhibit
A,
attached
hereto. Said early voting
polling locations, for purposes of this election, are each declared to be a public place for the
District. Applications for ballots by mail shall be mailed to: Harris County Clerk's Office, Attn:
Early Voting Clerk, P.O. Box 1525, Houston, Texas 77251-t525. Applications for ballots by
mail must be received no later than the regular close of business on October 23,2015.

The election shall be held within legal hours on November 3,2015

which for purposes of this election are each declared to be a public place for the District.

11.
Only duly qualified residents of the District shall be entitled to vote

12:
The election shall be held and conducted and returns made to the
at the election.
Board in accordance with the Texas Election Code and Chapters 49 and 54, Texas Water Code.
Section
13.
In accordance with the provisions of Section 3.009(b) of the Texas
Election Code, it is hereby found and determined that:
(a)
The proposition language that will appear on the ballot is set forth in Section
5
hereof.
(b)
The purpose for which the bonds are to be authorized is set forth in Section
5
hereof.
(c)
The principal amount of the bonds to be authorized is set forth
in
Section
5
hereof.
(d)
As set forth in Section 5 hereot if the bonds are approved by the voters, the Board
of Directors will be authorized to levy annual ad valorem taxes on all taxable
property in the District, within the limits prescribed by law, sufficient to pay the
annual principal of and interest on the bonds.
(e)
Based on the bond market conditions at the date of adoption of this Order, the
bonds are to be sold at any price or prices and to bear interest at a rate currently
estimated tobe 50/o. This estimate is for informational purposes only and does not
form an agreement or binding contract between the District and the voters andlor
any other entity, group, individual andlor party. Furthermore, the good faith
interest rate estimate contained herein in no way limits the District's authority to
issue bonds authorized pursuant to the authority granted by the voters at the
election held pursuant to this Order with an interest rate that differs from the good

faith estimate provided.

As set forth in Section 5 hereof, if the bonds are approved, they may be issued in
one or more series, to mature serially or otherwise, over a period not to exceed 40
years.
(g)
As of the District's fiscal year beginning October 1,2014, the aggregate principal
amount of the outstanding principal of the District's debt obligations which are
secured by ad valorem taxes was $38,850,000.
(h)
As of the District's fiscal year beginning October 1,2014, the aggregate amount
of the outstanding interest of the District's debt obligations which are secured by
ad valorem taxes was $13,530,489.
(i)
As of the date of this Order, the District's ad valorem debt service tax rate is
$0.79 per $100 of taxable assessed valuation.

14:
The President or Vice President is authorized to execute and the
Secretary or Secretary Pro Tempore to attest this order on behalf of the Board; and any of said
officers is authorized to do all other things necessary and legal in connection with the holding of
said bond election.

sistema de drenaje y retención de agua de tormentas, incluidas

EN VISTA DE QUE, la Junta no ha realizado ningún cambio o modificación en

para ordenar una elección de bonos, y la junta considera que se debe rcalizar una elección con el
propósito de presentar la proposición expuesta de aquí en adelante;

EN VISTA DE QUE, la Junta directiva del Distrito ha determinado que es para el
beneficio del público llevar a cabo la elección en una fecha de elecciones uniforme; y
EN VISTA DE QUE, la Junta halla que utilizar los lugares de votación regulares
del condado como lugares comunes de votación en una elección conjunta, puede atender
de
manera adecuada y conveniente a los votantes afectados y facilita la conducción ordenada de la
elección.
AHORA, POR LO TANTO, LA JI.INTA DIRECTIVA DEL HARRIS COLTNTY
MUNICIPAL UTILITY DISTRICT NO. 1 ORDENA LO SIGUIENTE:

Por el presente, los asuntos
y los hechos establecidos
en
el
preámbulo de esta orden se encuentran y declaran fieles, auténticos y completos.
Sección
2.
La Junta ratifica su aprobación previa de y adopta en todos los
aspectos dicho informe de ingeniería, incluidas las estimaciones

y por el presente se hace referencia a este para los contenidos

Según lo dispuesto por la ley

4. El Distrito acordarâ un Convenio Relativo a las Elecciones
Conjuntas a celebrarse el 3 de noviembre de 2015 con el Condado de Hanis ("Convenio"),para
que el Condado de Harris ("Condado") provea ciertos servicios electorales conjuntos
y
los
equipos que necesite el Distrito en relación con la elección del 3 de noviembre de 2015. Por la
presente el Distrito adopta los precintos electorales del Condado y por el presente, adopta los
lugares de votación anticipada
elección.

5. La siguiente proposición
será presentada ante los votantes
residentes debidamente habilitados en dicha elección:
PROPOSICIÓN
¿Se deberá autorizar a la junta directiva del Distrito se Servicios Públicos
Municipales Nro. I del Condado de Harris para emitir bonos de dicho Distrito
por la cantidad máxima de Treinta y Seis Millones de Dólares ($36,000,000),
para madurar en serie o de otra manera en un período que no exceda cuarenta
(40) años a partir de su fecha o fechas, para emitirse y venderse a cualquier
precio o precios y devengar interés a cualquier tasa o tasas, según lo determine
a su discreción la junta directiva del Distrito y de acuerdo a lo autorizado por
las leyes del Estado de Texas al momento de dicha emisión, para beneficio del
Distrito y cualquier terreno que se pueda anexar al Distrito en el futuro, con el
propósito de comprar, construir, adquirir, tener propiedad, operar, teparat,
mejorar y ampliar un sistema de agua y de alcantarillado sanitario, un sistema
de agua de superficie e instalaciones de alcantarillado de desecho para el
Distrito y un sistema de drenaj e paru el drenaje de los terrenos dentro del
Distrito, para pagar las cuotas o cargos de cualquier autoridad regional de
distribución de agua, distrito de conservación de agua subterránea o entidad
similar para cargos o contribuciones impuestos legalmente en el Distrito, y
para el propósito adicional de reembolsar, por algún medio autorizado por ley
ahora o más adelante, todos o alguna porción de los bonos o bonos de
reembolso del Distrito, pagaderos en totalidad o en parte de impuestos ya sea
emitidos hasta ahora o más adelante por el Distrito y ya sea autorizados en lo
sucesivo o en elecciones previas o subsiguientes celebradas dentro y para el
Distrito, y proporcionar el pago del capital e interés de dichos bonos mediante
la imposición y recaudación de un impuesto ad valorem suficiente a toda
propiedad gravable dentro del Distrito, todo esto según lo autorice la
Constitución y las leyes del Estado de Texas?

La elección se llevará a cabo en conformidad con las disposiciones
del Código Electoral de Texas.

Se usarán boletas de votación de papel y/o electrónicas en la
elección. Las boletas de votación, las instrucciones de votación y la proposición
estarán
disponibles en español, vietnamita y chino (mandarín) para las personas que las soliciten. Las

Por medio del presente se autoriza e instruye a los abogados del
brindar asistencia al secretario de la Junta para preparar la boleta oficial de votación, la
traducción de la boleta de votación a los idiomas español, vietnamita y chino (mandarín), y pata
proporcionar al Condado de Harris toda información y documentos adicionales que se pudieran
requerir en el Convenio acerca de la celebración de la elección y los procedimientos posteriores
al dia de la elección.

La votación anticipada y las boletas de votación cumplirán con los

que así corresponda. La votación anticipada en persona se realizará todos los días, durante los

La elección se celebrarây realizarâ,y el dictamen de los resultados
se dará a la Junta en conformidad con el Código Electoral de Texas
y los Capítulos 49 y 54 del
Código de Agua de Texas.

De acuerdo con las disposiciones de la Sección 3.009(b)
del
Código Electoral de Texas, se halla y determina por el presente que:

El lenguaje de la proposición que aparecerâ en la boleta de votación se establece
en la Sección 5 de este documento.

El propósito por el cual se han de autorizar los bonos se establece en la Sección
5
de este documento
(c)
La cantidad de capital de los bonos que se ha de autorizar se establece en la
Sección 5 de este documento.
(d)
Como 1o establece la Sección 5 de este documento, si los votantes aprueban los
bonos, la Junta Directiva estará autoÅzada a gravar impuestos ad valorem anuales
sobre toda propiedad gravable del Distrito, dentro de los límites establecidos por
la ley, suficientes parapagar el capital anual y el interés de los bonos.

En base a las condiciones del mercado de bonos a la fecha de adopción de esta
Orden, los bonos se venderán a cualquier precio o precios y devengarán interés a
una tasa que actualmente se estima que será de 5%. El estimado es a título
informativo solamente y no constituye un convenio o contrato entre el Distrito y
los votantes y/o algún otro grupo, entidad, individuo ylo parte. Además, el
estimado de buena fe de la tasa de interés contenido en el presente no limita de

forma alguna la autoridad del Distrito para emitir bonos autorizados en virtud de
la autoridad otorgada por los votantes en una elección celebrada en conformidad
con esta Orden con una tasa de interés diferente al estimado proporcionado de
buena fe.

Como se estableoe en la Sección 5 de este documento, si se aprueban los bonos,
se podrán emitir en una serie o más, para vencer en serie o de otro modo, durante
un periodo que no exceda los 40 años.
(g) A la fecha del año fiscal del Distrito que empezó el 1 de octubre de 20l4,la
cantidad agregada de. capital del capital pendiente de obligaciones de deuda del
Distrito que se garantizan con impuestos ad valorem era de $38,850,000.
(h) A la fecha del año fiscal del Distrito que ernpezí el I de octubre de 20l4,la
cantidad agregada del interés pendiente de las obligaciones de deuda del Distrito
que se garantizancon impuestos ad valorem era de $13,530,489.

A la fecha de esta Orden, la tasa de impuestos ad valorem del servicio de la deuda
del Distrito es $0.79 por cada $100 de tasación fiscal gravable.

El Presidente o el Vicepresidente están autorizados paraformalizar
y el Secretario o el Secretario pro témpore para atestiguar esta orden en representación de la
Junta;
y
cualesquiera de dichos funcionarios están autorizados para tomar todas las demás
